Foreclosure Sale in California

What Is a Foreclosure Sale?

Foreclosure Sale: Judicial and Nonjudicial

“A foreclosure sale is a method for recovering a debt or enforcing a right secured by a mortgage or deed of trust.” (Garretson v. Post (2007) 156 Cal.App.4th 1508, 1516 citing Alliance Mortgage Co. v. Rothwell (1995) 10 Cal.4th 1226, 1236.)

“A foreclosure may be either judicial or nonjudicial.” (Id.) "In a judicial foreclosure, if the property is sold for less than the amount of the outstanding indebtedness, the creditor may seek a deficiency judgment, or the difference between the amount of the indebtedness and the fair market value of the property, as determined by a court, at the time of the sale.” (Garretson, supra, citing Alliance Mortgage, supra, 10 Cal.4th at p. 1236, 44.)

"In a nonjudicial foreclosure, also known as a ‘trustee's sale,’ the trustee exercises the power of sale given by the deed of trust. (Id.) “Nonjudicial foreclosure is less expensive and more quickly concluded than judicial foreclosure, since there is no oversight ‘by a court,... [n]either appraisal nor judicial determination of fair value is required,' and the debtor has no postsale right of redemption.” (Id.) “However, the creditor may not seek a deficiency judgment....” (Id.)

Trustee's Duties and Requirements

Civil Code § 2924 requires a trustee to record:

  1. the notice of default (such notice may be given by the “trustee, mortgagee, or beneficiary, or any of their authorized agents.” (Civ. Code, § 2924(a)(1).); and
  2. notice of trustee’s sale (such notice must be recorded by a more restricted class of persons, namely, “the mortgagee, trustee, or other person authorized to take the sale.” (Civ. Code §2924(a)(3).)

Litigation Privilege

Under § 2924(d), a privilege applies to these notices, as the following states:

All of the following shall constitute privileged communications pursuant to § 47:

  1. The mailing, publication, and delivery of notices as required by this section.
  2. Performance of the procedures set forth in this article.
  3. Performance of the functions and procedures set forth in this article if those functions and procedures are necessary to carry out the duties described in §§ 729.040, 729.050, and 729.080 of the Code of Civil Procedure.

“The Legislature's rationale for extending the litigation privilege in Civil Code § 2924 to nonjudicial foreclosures was to protect trustees in the performance of their contractual and statutory duties.” (Garretson v. Post (2007) 156 Cal. App. 4th 1508, 1519.) “Although the statute originally was understood as applicable only to the tort of defamation, the privilege has been extended to encompass other potential tort claims.” (Hagberg v. California Federal Bank (2004) 32 Cal.4th 350, 361.) “The only tort claim that would fall outside the privilege is malicious prosecution.” (Id.)

Since the recording of a notice of default and a notice of trustee’s sale are publications of a notice required under Civil Code § 2924, the act of recording the notice of default is protected by the litigation privilege under Civil Code § 2924.

As noted above, the mailing, publishing, and delivery of these notices is privileged under Civil Code § 2924(d).

Further, case law has found that giving notice of a foreclosure sale to a consumer as required by the Civil Code does not constitute debt collection activity under the Federal Debt Collection Practices Act. (Pfeifer v. Countrywide Home Loans, Inc. (2012) 211 Cal.App.4th 1250, 1264.) “This holding is based on reasoning that a trustee for the lenders has the role of facilitating the foreclosure process and that it does not engage in communications with the borrowers regarding amounts owed and does not collect money on behalf of the lenders.” (Id.)

After the Sale: Presumption and Preclusion

“The purchaser at a foreclosure sale takes title by a trustee’s deed.” (Moeller v. Lien (1994) 25 Cal.App.4th 822, 831.) “If the trustee's deed recites that all statutory notice requirements and procedures required by law for the conduct of the foreclosure have been satisfied, a rebuttable presumption arises that the sale has been conducted regularly and properly; this presumption is conclusive as to a bona fide purchaser.” (Id.) “Since the presumption is rebuttable as to purchasers other than bona fide purchasers, the purchaser's title may in some instances be recovered by the trustor in an attack on the validity of the sale.” (Id.) “As to a bona fide purchaser, however, the presumption is conclusive.” (Id.) “Thus, as a general rule, a trustor has no right to set aside a trustee's deed as against a bona fide purchaser for value by attacking the validity of the sale.” (Id.) “The conclusive presumption precludes an attack by the trustor on a trustee's sale to a bona fide purchaser even though there may have been a failure to comply with some required procedure which deprived the trustor of his right of reinstatement or redemption.” (Id.) “The conclusive presumption precludes an attack by the trustor on the trustee's sale to a bona fide purchaser even where the trustee wrongfully rejected a proper tender of reinstatement by the trustor.” (Id.) “Where the trustor is precluded from suing to set aside the foreclosure sale, the trustor may recover damages from the trustee.” (Id. at 831–832.)

Rulings for Foreclosure Sale in California

A BFP at a nonjudicial foreclosure sale and a defaulting debtor are not in a contractual relationship with one another. Id. Second, the statutory scheme governing nonjudicial foreclosure was “exhaustive,” and the court cannot unilaterally inject equitable relief from a nonjudicial foreclosure sale into that scheme. “The comprehensive statutory framework established to govern nonjudicial foreclosure sales is intended to be exhaustive.

Defendant now admits an equitable lien is not subject to nonjudicial foreclosure. Nevertheless, defendant maintains the nonjudicial foreclosure was appropriate as “this matter was not a nonjudicial foreclosure on merely an equitable lien. The lien that was foreclosed upon was an unrecorded deed of trust.” But the order of May 8, 2018 explicitly states defendant “is the beneficiary of an equitable lien against the Subject Property…” See ROA 77, exhibit 4, page 3.

As a general rule, the purchaser at a nonjudicial foreclosure sale receives title under a trustee's deed free and clear of any right, title or interest of the trustor. ( Moeller v. Lien (1994) 25 Cal.App.4th 822, 831; see Civ. Code §§ 2924-2924k.) A properly conducted nonjudicial foreclosure sale constitutes a final adjudication of the rights of the borrower and lender. Based on the information provided, there is no true conflict between righteous claimants. Trustee advises that the owner of record at the time of the foreclosure sale has since passed away.
