What Is an Equitable Reformation of Trust or Equitable Deviation?
Background
“Reformation is generally available to correct mistakes in inter vivos instruments so that the written instrument accurately expresses the settlor's actual intent. As [the] court noted, however, in Matter of Dickinson v. Bates (NYLJ, Aug. 4, 1999, at 22, col 6, affd 273 A.D.2d 89 [2000]), reformation may not be used to change the terms of a trust to effectuate what the settlor would have done had the settlor foreseen a change of circumstances that has occurred.” (Matter of Rubin (2004) 4 Misc. 3d 634, 637-38 citing id.)
Under the Restatement [Third] of Property: Donative Transfers § 12.1, Comment h, reformation is unavailable to modify a document in order to compensate for changes in circumstances. (Id.) “To reform the trusts in [such a manner] would stretch the doctrine of reformation beyond recognition. Moreover, such a stretch would deviate from the policy animating reformation.” (Matter of Rubin, id.)

Reformation Grounds
The Restatement (Third) of Property states in relevant part:
“Equity rests the rationale for reformation on two related grounds:
- giving effect to the donor's intention and
- preventing unjust enrichment.
The claim of an unintended taker is an unjust claim. Using the equitable remedy of reformation to correct a mistake is necessary to prevent unjustly enriching the mistaken beneficiary at the expense of the intended beneficiary.” (Matter of Rubin, supra, 4 Misc. 3d at 638 citing Restatement [Third] of Property: Donative Transfers at § 12.1, Comment b.)
Equitable Deviation
“The doctrine of equitable deviation has been applied by our courts to permit deviation from the terms of a will or trust where there have been unforeseen circumstances and adherence to the instrument threatens to defeat or substantially impair the purpose of the trust.” (In re Smathers (2008) 19 Misc. 3d 337, 340-41 citing Matter of O'Donnell (1917) 221 N.Y. 197; Matter of Young (1942) 178 Misc 378; Matter of Pulitzer (1931) 139 Misc 575, affd 237 App. Div. 808; Matter of Siegel (1997) 174 Misc. 2d 698.)
“Application of the doctrine must accomplish the testator's intent which is the paramount consideration.” (See Matter of Singer, NYLJ, Mar. 11, 1992, at 26, col 3; Matter of Skinner, NYLJ, Oct. 23, 2006, at 37, col 2; Matter of Rubin, supra 4 Misc. 3d 634.)
“Thus, reformation or, deviation will not apply where the testator's or settlor's intention is unambiguous.” (In re Smathers, supra, 19 Misc. 3d at 341.)
“The court in Pulitzer (supra) posits several questions as a predicate to determining whether equitable deviation should apply:
- does the fiduciary have the power to sell;
- where there is a prohibition, may the court utilize its equitable power to modify the terms of the trust; and
- do the proofs submitted justify the exercise of such power?
“In other words, where problems not foreseen jeopardize the trust, Pulitzer suggests that a court may exercise its equitable power to permit deviation in order to protect the trust. Examples are found where under the administrative powers the fiduciary was restricted to certain investments which limitation later adversely affected the purpose of the trust.” (In re Smathers (2008) 19 Misc. 3d 337, 341 citing Matter of Pulitzer, supra; Matter of Young, supra; Matter of Siegel, supra; Matter of Flesch, NYLJ, Apr. 19, 2004, at 31, col 4.)
The Court’s Decision
“The doctrine of equitable deviation, under which reformation of the administrative provisions of the trust may be permitted...” is not permittable where there is no showing “that reforming the terms of the instrument to add an extrajudicial mechanism to remove trustees or provide additional individuals with trustee-appointment powers advances, or is at least in accordance with, the settlor's intent.” (In re Application of JPMorgan Chase Bank, N.A., 2014 N.Y. Slip Op. 32863 [N.Y. Surr. Ct. 2014].)
Cy Pres and Equitable Deviation
“EPTL 8–1.1(c) embodies ‘New York's statutory articulation of cy pres and equitable deviation.’” (In re Chamberlin (2016) 135 A.D.3d 1052 citing Board of Trustees of Museum of Am. Indian, Heye Found. v. Board of Trustees of Huntington Free Lib. & Reading Room (1994) 197 A.D.2d 64, 75.) “Equitable deviation involves altering or amending an administrative provision, whereas cy pres effects a substantive change.” (See Bogert's Trusts and Trustees § 396 2015 [Note: online treatise]; Matter of Uris, 27 Misc.3d 1205[A], 2010 N.Y. Slip Op. 50552[U], *2, 2010 WL 1340660 [Sur.Ct., Nassau County 2010].) “Thus, equitable deviation may be appropriate where cy pres is not because an administrative change can be made without altering the purpose of the trust or changing its disposition provisions.” (In re Chamberlin, id., citing Bogert's Trusts and Trustees § 396 2015 [Note: online treatise].)
