Attorney's fees are recoverable per Corporations Code 7237(d) and Section 4.6 of 140 South Homeowner's Association Bylaws. The amount of fees and costs sought for defending the cross-complaint is reasonable. The $10,000 in fees sought for this motion is excessive given the relatively modest amount of work needed for the motion. $3000 is awarded for fees for this motion. Accordingly, the total amount awarded is $86,418.04.

Section 4.6 of the agreement requires AudienceX to collect fees from Sizmek’s customers, and §7.2 requires AudienceX to pay the collected fees to Sizmek. The parties’ Letter of Intent confirmed AudienceX’s obligation to pay the fees to Sizmek’s successor. Plaintiff’s only evidence that defendant breached the LOI is Ettenger’s declaration that defendant refused to pay $1,442,441.00 as required under the LOI. Ettenger Decl. at ¶11. Defendant disputes the amount and that it breached the LOI.
