No person shall install for profit unopenable burglar bars on a residential dwelling:

1. New section filed 7-2-98; operative 8-1-98 (Register 98, No. 27).
Attorney's fees are recoverable per Corporations Code 7237(d) and Section 4.6 of 140 South Homeowner's Association Bylaws. The amount of fees and costs sought for defending the cross-complaint is reasonable. The $10,000 in fees sought for this motion is excessive given the relatively modest amount of work needed for the motion. $3000 is awarded for fees for this motion. Accordingly, the total amount awarded is $86,418.04.

Section 4.6 of the agreement requires AudienceX to collect fees from Sizmek’s customers, and §7.2 requires AudienceX to pay the collected fees to Sizmek. The parties’ Letter of Intent confirmed AudienceX’s obligation to pay the fees to Sizmek’s successor. Plaintiff’s only evidence that defendant breached the LOI is Ettenger’s declaration that defendant refused to pay $1,442,441.00 as required under the LOI. Ettenger Decl. at ¶11. Defendant disputes the amount and that it breached the LOI.

Such obligation shall not be construed to negate, abridge, or otherwise reduce other rights or obligations of indemnity which would otherwise exist as to a party or person described in this Section 4.6. Rue had a duty to defend Langlois when the defense was tendered, and the Court grants the motion for summary adjudication as prayed for. The Court finds that none of the evidentiary objections asserted are material to the disposition of this motion.
