           Dear Jasmin,




                                               FEES AND EXPENSES

                  The Firm*s fees are based on the time spent on a given task and the regular hourly rates of
           each attorney or paralegal performing services on your behalf. The hourly rates vary from person
           to person and are adjusted periodically (usually in January ofeach year).

                  This Matter will be supervised by Sanjay Ibrahim and Scott Parker, senior partners at the
           Firm. The hourly rates currently charged by the Firm for this Matter will range as follows:




                  The Firm will bill you for all legal fees, disbursements, and out-of-pocket expenses made
          or incurred on your behalf. Disbursements, costs and other expenses are charged separately from
          the Firm’s fees.

                                     TERMINATION OF REPRESENTATION

                 You may discharge the Firm at any time. Consistent with the Rules of Professional
          Conduct,the Firm reserves the right to with^aw its representation of you with your consent or for
          good cause. Good cause includes your breach ofthis Agreement, including failure to pay for the
          Firm’s services as provided herein, your refusal to cooperate with the Firm or to follow the Firm’s
          advice on a material matter, or any other fact or circumstance that would render the Firm’s
          continuing representation unlawful or unethical.
