                                        Defendant, MATTHEW R. EDWARDS, answers the Second Amended Complaint

                                (hereinafter referred to as “Complaint”) of Plaintiffs as follows:

                                  1.    Pursuant to the provisions of § 431.30(d) of the California Code of Civil Procedure,

                                Defendant denies each, every, and all of the allegations of said Complaint, and the whole thereof,

                                and denies that Plaintiffs have sustained damages in any sum or sums alleged, or in any other
                           20
                                sum, or at all.

                                  2.    Further answering the Complaint, and the whole thereof, Defendant denies that said
                           22   Plaintiffs have sustained any injury, damage or loss by reason of any act or omission of
                           23   Defendant or its agents or employees.
