         Hi Michele,


         I am in receipt of the 03/28/22    letterfrom  Zeynep   Tekiner  regarding  the withdrawal    of a prior direction regarding
         indemnification   and  advancement.     We   have reviewed   the letter along  with the  prior letter of direction and  related
         consents.  Since  we  were  provided   with a valid letter of direction from  the  Trust Committee    to sign the Written   Consents
         and  already acted  upon  that  direction, any  future actions  with respect  to the Written   Consents,  including  a withdrawal,
         would  require  unanimous    direction from   the Trust Committee    as isrequired   under  the trust agreement.     Ifthere isa
         Delaware   statutory  provision or caselaw   that would   support  Zeynep's   abilityto simply  withdraw   a prior acted  upon

         direction, please  let me know.
