                              Dear Jessica:


                              As  you know,   the Trust  owns  32  2/3 shares  in Bremen   House,   Inc. ("Bremen   House")
                              and  3 1/3 shares in German  News   Company,    Inc.("German    News").


                              As the  members   of the  Trust Committee    of the Trust, and  pursuant  to the provisions  of
                              Article FIFTEENTH       of the  Trust, we  hereby   direct you,  as Trustee   of the  Trust, to
                              execute  the  attached  Written   Consents   removing   Yasemin    Tekiner   as  a  director of
                              Bremen   House  and  German   News.


                              The  foregoing  direction is intended by  us tobe  a directiondescribed  in section 3313(b)  of
                              Title 12  of the Delaware   Code   (which  states, in relevant part,that if a trust instrument
                              provides  that a trusteeis to make   investment  decisions  upon  the direction of an adviser,
                              and the  trustee acts in accordance  with  such  a direction, then  except in cases  of willful

                              misconduct,  the trustee shall not be liable for any  loss resulting from  any such  act). Our
                              responsibilities as  the  members    of  the  Trust  Committee     of the  Trust   include  the

                              responsibility to monitor  the  investments  and  the actions of the Trust,  and to direct and
                              instruct the Trustee of the Trust  on  the future actions, ifany, to be taken  with  respect to

                              preserving  such investments   and  reviewing  and  directing any actions  required to comply
                              with  any  representations,   warrantees   and  covenants   made   in  connection   with  such
                              investments.


                              Accordingly,  the Trustee   of the Trust, in both its fiduciary and  individual capacity,  shall
                              have  no  liabilityin acting  upon  the directions  made  pursuant   to thisletter of direction
                              except  to the extent expressly  provided  in section 3313(b)   or section 3302(e)  of Title 12
                              of the Delaware  Code,  or in theTrust.
