This is an action for breach of the duty of loyalty. The Complaint alleges as follows. Plaintiffs Steve Sohn (“Steve”) and Un A. Sohn (“Un”) owned and managed Plaintiff Oyang Immigration Services, APC (“Oyang”). (Complaint ¶ 11.) In 2013, Steven announced that he would be selling Oyang. (Complaint ¶ 13.) He would sell the property at a discounted price to current employees of Oyang. (Complaint ¶ 12.)
