IT IS HEREBY ORDERED that the Stipulation for Dismissal of Action and Dissolution of
Corporation; Order Thereon be and hereby approved and led with this Court and that the Order on
Stipulation signed by The Honorable Noel Watkins, Judge (Ret’d.) on July 22, 201 3 be and hereby is
made the Order ofthe Court, as follows:
1. Meline & Rabo Fanns, Inc., a California corporation (the “Corporation”), all of the
shareholders of which are parties to this action, shall be completely dissolved and liquidated as soon as
reasonably practicable following entry of this Order. The cash-on-hand at the time of dissolution of the
13 Corporation shall be distributed to the parties hereto in the manner set forth on the attached Exhibit “A”,
l4 which exhibit is incorporated herein by reference as though fully set forth.

2. The second cause of action of this action shall be and hereby is dismissed with prejudice.
