Plaintiff Eclipse Property Management, Inc. (“Eclipse”) and Defendants Wilfredo
Umanzor and Maria Ortega hereby agree to set aside and vacate the judgment against Wilfredo
Umanzor and Maria Ortega entered in Eclipse Property Management, Inc. v. Umanzor, et al., San
Francisco Superior Court, Case No. CUD-12-642163 on October 29, 2012. The parties
understand that the Settlement Agreement with all its terms and conditions entered on August 27,
2012 is null and void. In its place, the parties agree that the Settlement Agreement dated
November 26, 2012 (“New Settlement Agreement”) is in effect and binding on all parties. Any
violation of the New Settlement Agreement will immediately and automatically cause this case to
be reopened.
Both parties further stipulate and agree that Defendants have an overriding interest that
