                            JONATHAN     B. SCHWARTZMAN,        an attorney at law duly admitted to practice

                 before the courts of the State of New   York affirms the following to be true under the

                 penalties of perjury:
1    Iam a member of the firm of Cordova & Schwartzman, LLP, which

represents the moving defendants in the above-entitled action.      I submit this Affirmation

in support of the moving defendants’ instant motion to cancel and vacate the notices of

pendency filed in this action, and for an award sanctions and costs against the plaintiffs

and their counsel.

        2        The legal and factual arguments in support of the moving defendants’

instant motion are set forth in the accompanying Memorandum of Law, and for the sake

of brevity, shall not be set forth at length. I respectfully refer the Court to the

Memorandum of Law for a full recitation of the moving defendants’ instant motion legal

and factual arguments.

        3       The exhibits annexed hereto are true and accurate copies of the documents

        4       For the foregoing reasons, I respectfully request that the Court grant this
