CORP (“LIOS”), by and through its undersigned counsel, hereby moves this Court to enter an Order granting this Motion for Protective Order pursuant to I'lorida Rules of Civil Procedure 1.280(c) to protect LIOS from Case No.: 2020-CA-002942 ‘Lhird-Party Defendant Lios Concrete Corp.’s Motion for Protective Order Page 2 of 7 being required to participate in unnecessary discovery, and in support states the following: 1 Counsel for LIOS filed and served a Motion to Dismiss and/or Stay Proceedings on August 27, 2021. ‘The basis of its Motion to Dismiss is that the Master Subcontractor Agteement between Don King’s Conctete, Inc. ((DKC”) and LIOS tequired that any dispute would be filed in Seminole County, Ilorida, not Osceola County. See LIOS Motion to Dismiss attached as [xhibit “A.” ‘The Motion is set for heating on November 1, 2021. Subsequently, Counsel for DKC filed and served T'irst Set of Interrogatories and First Request for Production of Document to LIOS on September 9, 2021; with responses due on October 9, 2021. See DKC’s interrogatories and RI'P attached as Composite Exhibit “B.” Florida Rule of Civil Procedure 1.280(¢), provides that, “[u]pon motion by a patty ... and for good cause shown, the court in which the action is pending may make any order to protect a patty or petson from annoyance, embatrassment, oppression, or undue burden or expense that justice requites, including one or more of the following: (1) that the discovery not be had; (2) that the discovery may be had only on specified terms and conditions, including a designative of time or place ... (4) that certain matters not be inquited into, or that the scope of the discovery be limited to certain matters.” Florida courts have imposed protective orders specifically addressing when discovery is not to be had. In Tennant v Charton, the Court held that a protective ordet should be issued for good cause shown, and to protect a party from annoyance, embarrassment, oppression or undue burden ot expense that justice requites. 377 So.2d 1169 (Fla. 1979). Rojas v. Ryder 'Vruck Rental, Inc., established that a trial court possesses broad discretion in overseeing discovery, and protecting the patties that come before it. 625 So, 2d 106, 107 (Fla. 3d DCA 1993). Additionally, Waite ». Wellington Boats, Inc., states that “trial courts must be accorded broad discretion in the treatment of discovery problems through the employment of the protective provisions contemplated by Rule 1.280.” 459 So.2d 425, 426 (Fla. 1st DCA 1984). Further, Ilorida courts have found that trial courts have discretion to stay discovery pending the determination of a substantive motion that challenge the legal sufficiency of a pleading. See Ieigin v. [lospital Staffing Services, Inc., 569 So.2d 941 (Ila. 4th DCA 1990) (“the trial court did not abuse its discretion by .. staying appellant's discovery Case No.: 2020-CA-002942 ‘Lhird-Party Defendant Lios Concrete Corp.’s Motion for Protective Order Page 3 of 7 depositions pending the motion to dismiss hearing”); Deltona Corp. v. Bailey, 336 So.2d 1163 (Ila. 1976) (recognizing that “postponing discovery for a short period of time pending determination of material, outstanding motions may be within the discretion of the trial coutt...”); [lollywood, Inc. v. Broward County, 90 So.2d 47 (Fla. 1956) (trial court had disctetion to enter an order staying depositions that “wete noticed while motions to dismiss wete pending.”). LIOS should not be required to comply with DKC’s discovery requests until after the Court rules on its Motion to Dismiss. LIOS’s Motion to Dismiss challenges the legal sufficiency of DKC’s third-party complaint. As set forth in LIOS’s Motion to Dismiss, the parties entered into a Master Subcontract Agreement that requited the parties to litigate this matter in Seminole County. DKC filed its third-party complaint in Osceola County, in violation of the signed agreement. lowing DKC to proceed with discovery prior to the court ruling on LIOS’s motion will cause undue burden on LIOS by having to respond to discovery on a potentially legally insufficient claim. Accordingly, LIOS requests that this Court enter a protective order barring discovery, or stay discovery until, a ruling on LIOS's Motion to Dismiss. Case No.: 2020-CA-002942 Lios Concrete Corp.’s Motion to Dismiss and/or Stay Proceedings Page 2 of 7 THIRD-PARTY, LIOS CONCRETE CORP.’S MOTION TO DISMISS AND/OR STAY PROCEEDINGS COMES NOW the Third-Party Defendant, LIOS CONCRETE CORP. (“LIOS”), by and through its undersigned attorneys, and hereby moves this Honorable Court for the entry of an Order dismissing or, in the alternative, staying proceedings against LIOS herein and, as grounds therefore, states as follows: 1 Plaintiff filed the instant action on or about November 23, 2020, alleging construction defects and deficiencies related to the design and construction of the Emerald Lakes Condominium residential complex (“the Project”). 2. On or about December 29, 2020, Defendant, ROYAL OAK HOMES, LLC filed a Cross-Claim against DON KING’S CONCRETE, INC. (“DKC’) and others. 3 DKC filed a Third-Party Complaint (“the Third-Party Complaint”) on March 15, 2021, against LIOS as others. The claims against LIOS include Breach of Contract, Common Law Indemnity, Violation of Building Code, Negligence, Contractual Indemnity, and Equitable Subrogation. 4. DKC and LIOS entered into a Master Subcontractor Agreement dated December 23, 2015 (“the Contract”). A copy of the Contract is attached hereto as Exhibit A. 5. The Contract states in Article 1 that it “...shall contain the terms, conditions and specifications governing all construction projects that are or that may in the future be commenced by and between DKC and [Lios]...” 6. The contract further states in Article 16, that “All disputes arising under this Subcontractor or any bonds issued by either Contractor or its Surety or Subcontractor or its surety (hereinafter “all disputes”) shall be mediated as a condition precedent to litigation or arbitration.” Case No.: 2020-CA-002942 Lios Concrete Corp.’s Motion to Dismiss and/or Stay Proceedings Page 3 of 7 DKC and LIOS signed the Contract and are, therefore, bound by its provisions. 7 DKC filed the Third-Party Complaint against LIOS prematurely, without first fulfilling its obligations under the Contract. Specifically, DKC filed its Third-Party Complaint without first mediating the dispute, which is a condition precedent to litigation under the Contract between DKC and LIOS. 8 The Court recognized in Gefchell v. Suntrust Bank, 2016 WL 740603 (M.D. Fla. 2016) that, “Since the parties entered into a valid and enforceable agreement to mediate disputes arising out of the contract, Defendant has not waived its right to mediate, and no mediation has occurred, this action is premature.”. Similarly, in 3-J Hospitality, LLC v Big Time Design, Inc., 2009 WL3586830, (S.D. Fla. Oct. 27, 2009), the Court found that the “...Plaintiff is bound to mediate the claims as a condition precedent to litigation and the complaint must be dismissed.” 9 Article 16 of the Contract further states “If the dispute is litigated, it shall be resolved solely and exclusively in the Ninth Judicial Circuit Court of Florida in and for Seminole County, Florida.” 10. DKC filed its Third-Party Complaint in Osceola County, Florida in violation of the terms of Article 16 of the Contract, stating that the sole and exclusive venue for litigation between DKC and Lios is the Ninth Judicial Circuit Court of Florida in and for Seminole County, Florida. 11. “Florida courts recognize a distinction between mandatory jurisdiction clauses in contracts which require that a particular forum be the exclusive jurisdiction for litigation concerning the contract, and permissive jurisdiction clauses which only provide that there may be jurisdiction over such litigation in a particular forum.” Shoppes Ltd. Partnership v Conn, 829 So.2d 356 (Fla. 5” DCA 2002). Article 16 of the Contract states that the sole and exclusive venue is Seminole County, Florida. Given the exclusivity of the language, the clause is mandatory and DKC erred in Case No.: 2020-CA-002942 Lios Concrete Corp.’s Motion to Dismiss and/or Stay Proceedings Page 4 of 7 filing its Third-Party Complaint in Osceola County, Florida. 12. Likewise, in General Home Development Corp. v. Kwirant, 819 So.2d 255 (Fla. 2d DCA. 2002), the Court held that “contractual requirement that “any” action brought by the purchaser or builder “shall” be in particular county was susceptible to only one interpretation — that the parties had expressed an intent to limit venue to one specific locale county specified therein.” Such is the case herein, where the contract clause states that litigation between DKC and LIOS “shall be resolved solely and exclusively” in Seminole County, Florida. WHEREFORE, Third-Party Defendant, LIOS CONCRETE CORP., hereby moves this Honorable Court for the entry of an Order dismissing the Third-Party Complaint for improper venue and premature filing in light of the mediation provision or, in the alternative, staying proceedings until such time as mediation can occur, and for all such further relief as this Court deems just and proper. COMES NOW the Defendant/Third-Party Plaintiff DON KING’S CONCRETE, INC., by and through its undersigned counsel, serves its Request for Production of Documents upon Third-Party Defendant, LIOS CONCRETE CORP. and requests that same be responded to within the time and in the manner prescribed by Rule 1.350 of the Florida Rules of Civil Procedure. Definitions For the purposes of these Requests, the terms used are defined as follows: 1 The “Project” shall mean the construction project commonly referred to as the Villas at Emerald Lake, located in Osceola County, Florida which is the subject of this litigation. 2. “Litigation” shall mean the above-captioned lawsuit. 3. “DON KING’S” shall mean the Defendant DON KING’S CONCRETE, INC., its agents, employees and representatives. 4 “You,” “Your,” or “LIOS” shall mean LIOS CONCRETE CORP.., its agents, employees and representatives. 5. The “Complaint” shall mean the Complaint and all amendments filed by VILLAS AT EMERALD LAKE HOMEOWNERS ASSOCIATION, INC. in this Litigation and any amendments thereto. 6. The “CROSSCLAIM” shall mean the Crossclaim and all amendments filed by ROYAL OAK in this Litigation and any amendments thereto. 7. “Document” shall mean: any written or graphic matter or other means of preserving thought or expression, all tangible things from which information can be processed or transcribed, including the originals and all non-identical copies, whether different from the original by reason of any notation made on such copy or otherwise, including, but not limited to, correspondence, email, memoranda, notes, messages, letters, telegrams, teletype, telefax, bulletins, or other communications, diaries, chronological data, minutes, books, reports, charges, ledgers, invoices, expense vouchers, payroll stubs, purchase orders, worksheets, receipts, returns, computer print- outs, prospectuses, financial statements and balance sheets, schedules, work orders, affidavits, contracts, minutes, canceled checks, transcripts, statistics, surveys, magazine or newspaper articles, releases (and any and all drafts, alterations and modifications, changes and amendments of any of the foregoing), photographs, charts, graphs, microfiche, microfilm, videotape, recordings or representations of any kind (including, without limitation, tapes, cassettes, discs, and electronically stored information, however created, depicted or stored, e.g., on computer, disk diskette, CD, tape, or zip, jazz, hard, network, or other drive, or by photographic, mechanical, digital, optical, electronic, or any other means). 8 The word “and” or “or” shall be construed conjunctively or disjunctively as necessary to make the request inclusive rather than exclusive. 9. The singular form of a noun or pronoun shall be considered to include within its meaning the plural form of the noun or pronoun so used, and vice versa; and the use of any tense of any verb shall be considered to include also within its meaning all other tenses of the verb so used. 10. “Related to,” “relate to,” or “relating to” shall mean directly or indirectly mentioning or describing, pertaining to, being connected with, or reflecting upon a stated subject matter. 11. “Person” or “persons” shall mean each and every individual, corporation, partnership, joint venture, social, or political organization, or any other entity, whether real or judicial, incorporated or unincorporated, encompassed within the usual and customary meaning of “person” or “persons.” 12. The term “communication” shall mean any manner or form of information or message transmission, however produced or reproduced, whether by “document” as herein defined or orally or otherwise, which is made, distributed or circulated between or among persons, or data storage or processing units, and any and all documents containing, consisting of, or relating or referring, in any way, either directly or indirectly, to a communication. 13. “Identify” with respect to Persons means to state a Person’s full name, present or last known address, and, when referring to a natural Person, additionally, the present or last known place of employment. If the business and home telephone numbers are known to you, and if the Person is not employed by you, said telephone numbers shall be provided. “Identify” with respect to any corporation means to give, to the extent known: (a) its full name; (b) its place and date of incorporation; (c) its present or last known address and principal place of business; and (d) the identity of officers or other Persons having knowledge of the matter with respect to which such corporation is named. “Identify” with respect to any other legal entity means to give, to the extent known: (a) its full name and type of entity, e.g, partnership or sole proprietorship; (b) its present or last known address and principal place of business; and (c) the identity of officers or other Persons having knowledge of the matter with respect to which such Person is named. “Identify” with respect to each document means to give, to the extent known: (a) the type of document; (b) the general subject matter; (c) the date of the document; (d) the author(s), addressee(s) and recipient(s); (e) the date and manner of its distribution; and (f) the location of each copy of the document and the identity of those Persons who have possession, custody or control of each such copy. “Identify” with respect to oral communications means to give, to the extent known: (a) the communication medium, i.e., in person or telephonic; (b) the date of each such communication; (c) the full name and current business and residence address of those who participated in each communication; and (d) the substance and nature of each such communication. DOCUMENTS TO BE PRODUCED DON KING’S request that LIOS CONCRETE CORP. produce all of the following: 1 Any and all contracts, agreements, invoices or work orders executed between You and DON KING’S in connection with the Project. 2. All documents referring to labor, services, or materials furnished by You to DON KING’S at the Project. 3. All documents referring to the condition of labor, services, or materials furnished by You to DON KING’S at the Project. 4. All documents referring to the construction, inspection or evaluation of labor, services, or materials furnished by You to DON KING’S at the Project. 5. All correspondence with insurance carriers, and proof of loss claims for coverage or indemnification relating to the Project. 6. All notes, journals, calendars, daily logs, memoranda, reports, or meeting minutes prepared or maintained by You relating to the Project. 7. All documents related to the planning and construction of the Project. 8. All documents related to complaints, reports, investigations, or remediation with respect to Your Work for the Project. 9. All communications or documents between You and anyone related to any alleged construction defects, whether relating to Your scope of work or others, with respect to the Project. 10. All photographs, video or audio recordings, drawings, maps, plans, specifications, graphs, charts, diagrams, or any other visual or audible depictions with respect to the Project. 11. All statements that have been taken of any parties, witnesses, or other individuals that relate to the Project or this Litigation. 12. All communications between You and any other party in this Litigation, its agents, employees, or insurers regarding the Project. 13. All plans, specifications, details, drawings, photographs, surveys and/or charts pertaining to, or concerning, Your furnishing of labor, services, or materials on the Project. 14. All documents dealing with work performed or materials furnished by any contractor or subcontractor on behalf of LIOS relating to the Project. 15.
