THE LAST WILL AND TESTAMENT OF
CYNTHIA PODLESNY
1, CYNTHIA PODLESNY, a resident of Al pharetta, Georgia, hereby declare this
to be
my Last Will and Testament, and I ex pressly revoke all Wills, including Codicil
s, which I have
previously made.
ARTICLE 1.
| direct that my body be buried and the costs be paid from my estate as soon after my
death as is practical.
ARTICLE 2.
| give the entire residue of my estate to the Trustee then in office under that Trust
designated as “THE CYNTHIA PODLESNY REVOCABLE LIVING TRUST,” established and
under agreement dated the 24th of November, 2003, of which | am the Grantor and initial
Trustee. | direct that the residue of my estate shall be added to, administered, and distributed
as part of that Trust, according to the terms of the trust and any amendment made to it before
my death. To the extent permitted by law, itis not my intent to create a separate Trust by this
Will or to subject the Trust or the property added to it by this Will to the jurisdiction of the
probate court.
ARTICLE 3.
If the disposition in Article 2, above, is inoperative or is invalid for any reason, or if the
Trust referred to in Article 2, above, fails or is revoked, | incorporate herein by reference the
terms of that Trust, as executed on this date, without giving effect to any amendments made
subsequently, and | bequeath and devise the residue of my estate to Trustee named in the
Trust as Trustee, to be held, administered, and distributed as provided in said Trust
instrument.
ARTICLE 4.
| hereby nominate CARL H. PODLESNY, currently residing in Alpharetta, Georgia, to
be the Executor of this Will. If CARL H. PODLESNY is unable to serve or declines to serve
as the Executor of this Will, | hereby nominate JOHN APOSTOL' OS, currently residing in
Chelmsford, Massachusetts, as Executor/Executrix.
If JOHN APOSTOLOS is unable to
serve or declines to serve as the Executor/Executrix of this Will, | hereby nominate
MAUREEN APOSTOLOS, currently residing in Chelmsford, Massachusetts, as
Executor/Executrix.
Any Executor/Executrix serving under this Will, whether jointly with others or
individually, shall serve without bond.

The Executor shall have full power and authority to carry out the provisions of this Will,
including the powerto manage and operate during the probate of my estate any property and
any business belonging to my estate.
POWERS OF FIDUCIARIES
In the management, care and disposition of my estate and of any trust created under
this Will, | confer upon my Executor and upon my Trustee, and upon their successors in
office, in addition to all general powers of Executors and Trustees provided by law, the power
to do all things and execute all instruments that may be deemed necessary or appropriate,
including but without limitation, all the powers enumerated in O.C.G.A. §53-12-232 (Georgia
Code Annotated, §53-12-232, enacted by Ga. L. 1991, p. 810, §1.) as amended, which
powers are hereby incorporated by reference into this instrument and specifically made a part
hereof, all of which may be exercised in the discretion of my Executor or Trustee and without
order or approval or report to any court. All powers, duties and discretionary authority granted
to the Executor or Trustee may be exercised by them without posting any bond, without
obtaining any order from or the approval of any court, without inventory, without annual or
other returns and without any notice to or consent of anyone. The Executor and Trustee are
not to be answerable for any loss that does not occur through their own default or negligence.
A successor Executor or Trustee shall succeed to all the powers, duties and discretionary
authority of the initial Executor and Trustee.

On the date written below, CYNTHIA PODLESNY, declared to us, the undersigned,
that this instrument, consisting of three (3) pages, including the page signed by us as
Witnesses, was the Last Will and Testament of CYNTHIA PODLESNY (hereafter “Testatrix”)
who requested us to act as Witnesses to it. Testatrix thereupon signed this Will in our
presence, all of us being present at the same time. We now, at Testatrix’s request, in
