NO. 40 RECEIVED NYSCEF: 10/16/2023 Oldfeld Limited Notes of an Impromptu Teams Mee ng held on 28 December 2022 In a endance: Stuart Hamon – Oldfeld Limited (Law Firm) Michael Scaglioni – Logistec Pinchas B – Logistec Jan Wimp eimer Boris Musheyev Oldfeld Limited received an unscheduled call reques ng that they join an ongoing Teams Mee ng underway with various par cipants. It was briefly explained to Oldfeld Limited that Oldfeld was being requested to join the mee ng specifically to discuss an issue raised by Mr Wimp eimer rela ng to his Israeli Tax posi on and a proposal to establish an Escrow Agreement. Oldfeld Limited agreed to join the call and requested a mee ng invita on. During the mee ng Oldfeld Limited was asked to comment on the proposal that an Escrow Arrangement be implemented between Oldfeld Limited and the Corporate Group which would allow for the colla on of documenta on currently under prepara on and that if Oldfeld Limited would act as Se lor to the various Trusts in place of the individuals that it would assist Mr Wimp eimer with his tax declara on situa on and further would streamline the whole proposed East Hudson corporate group restructure. During the discussion, general facts regarding the func on of the proposed escrow were discussed, including but not limited to: dra ing, ming, trigger mechanisms, the suite of documents proposed to be deposited and authorisa on. In conclusion, by the end of the mee ng Mr Wimp eimer, Mr Musheyev and Oldfeld Limited were sa sfied that the escrow arrangement and its proposed mechanism of opera on were acceptable to them and that Mr Musheyev was authorised to order the prepara on of the Escrow Agreement and that provided Oldfeld Limited was sa sfied with form of Agreement, Mr Musheyev and Oldfeld Limited would sign the Agreement once all dra ing was complete. It was further agreed that Mr Musheyev would issue a comprehensive le er of instruc on to Oldfeld Limited detailing the mechanisms for entry and release of all relevant documenta on and the ming for such events. Oldfeld Limited thanked Logistec for making the introduc on to the call and further thanked Mr Musheyev and Mr Wimp eimer for their me and that Oldfeld Limited was looking forward to doing this business with them.
