                    ON THIS DAY came on for hearing Defendants’ Motion to Compel Arbitration, and the

           Court, having considered the Motion, all Responses thereto, and argument of counsel, GRANTS

           Defendants’ Motion to Compel Arbitration, in part, and DENIES Defendants’ Motion to Compel

           Arbitration, in part.

                    The Court finds that the arbitration clause cited by Defendants results in the overall costs

           of arbitration to be excessive compared to litigation in this Court.

                    The portion of the arbitration clause that requires arbitration by and through American

           Arbitration Association (”AAA”) is stricken from the contract. However, the Court orders the
