                ORDER GRANTING MOTION TO WITHDRAW AS COUNSEL


          On this day, the Court considered Wick Phillips,       LLP’s    (a/k/a Wick Phillips Gould   &

Martin,   LLP) Motion       to Withdraw as Counsel     (“Motion to Withdraw”) for Plaintiffs/Counter-

Defendants IPwe, Inc. and Erich Spangenberg (collectively “Plaintiffs” or “IPwe”) for all matters

pending under the above styled and number cause. The Court, having reviewed the Motion to

Withdraw, finds that it is in all things proper and should be GRANTED, and finds that there is

good cause for withdrawal and that the withdrawal is not being sought for purposes of delay.

          It is therefore   ORDERED     that   Wick Phillips’ Motion    to Withdraw is   GRANTED,   and

Wick Phillips, Michael L. Baum, Nick Nelson, Liz Feldman, Alec Perry, and Alex Wahl                 are


permitted to withdraw as counsel        of record for Plaintiffs in all matters pending under the above-

styled and numbered cause and from this point forward no longer represent Plaintiffs in any matters

pending under the above-styled and numbered cause.
