             - Payment of the full purchase price is due upon receipt of invoice.

             - Title shall not pass until payment is received in good, cleared funds.

             - All crating, packing, shipping, and insurance costs are the responsibility of the Purchaser and
             are not included in the purchase price.

             - Payment of applicable use tax is the responsibility of the Purchaser.

             - Schiff Fine Art is conveying good title to Purchaser, but the work is otherwise sold “as is”
             without any representations or warranties of any kind whatsoever, express or implied, including
             without limitation, representations and warranties as to value , condition or other matters.

             - Schiff Fine Art has no direct liability to Purchaser. Purchaser shall look solely to the owner in
             connection with any issues relating to the sale of the work, whose identity Schiff Fine Art shall not
             unreasonably withhold.
             - The benefits of the representations and warranties in this invoice survive the completion of the
             sale and inure to the benefit of Purchaser, but not to subsequent owners or others who may
             acquire an interest in the work.

             - This confirmation shall be governed by New York law and any disputes that cannot be resolved
             amicably shall first be mediated and, if mediation should be unsuccessful, then arbitrated,
             exclusively in Manhattan through JAMS pursuant to its then-applicable rules. The prevailing party
             in any dispute shall be entitled to its costs, including reasonable attorneys’ fees.

             - Schiff Fine Art reserves the right to sell the work to another if a signed copy of this invoice or an
             email stating that Purchaser agrees to the terms of the invoice is not received within two
             business days.
