The Court has read and considered all documents filed hereto regarding the Motion for Preliminary Injunction and provides counsel with its written Tentative Ruling. The Court adopts its Tentative Ruling as the Final Ruling as follows: **FINAL RULING** PROCEDURAL BACKGROUND On January 23, 2020, the Court granted Plaintiff’s Motion to Compel Compliance with Corporate Formalities and for Injunctive Relief because Plaintiff provided evidence that Network Deposition Services is a corporation and the annual shareholder meeting had not been held pursuant to the Corporations Code and the corporation’s by laws. (see 1/23/2020 Order.) On December 7, 2020, the Court granted Plaintiff’s ex parte request for a temporary restraining order. On this same date, Plaintiff filed a motion for preliminary injunction. Plaintiff requests a preliminary injunction: (1) halting all additional payments to the Yossefis; (2) mandating the return of all retroactive pay taken by Uriel and Nuriel Yossefi based upon the invalid November 6, 2020 Board of Director’s vote; (3) mandating equal distributions to all three shareholders of Minute Order Page 1 of 7
