         The Court having reviewed and considered Plaintiff and Cross-Defendant Andrew Ho’s

(“Ho”) Motion for Sanctions Against V5 Systems, Inc. (“(V5’) and Andrew Watters, and the
arguments and evidence in support thereof and in opposition thereto, and good cause appearing,
hereby grants the Motion, finds that V5’s First Amended Cross-Complaint is frivolous within the

meaning of Code of Civil Procedure § 128.5, and ORDERS as follows:

         Gd)         The Court awards monetary sanctions in the amount of $4,860.00 for Ho and jointly     |

and severally against VS and V5’s counsel, Andrew Watters; and
