                       18                 I, WILLIAM A. SOROKY, do hereby declare and state as follows:

                       19                 1.          I am the Defendant in the above-entitled matter (the “Pending Matter”).

                       20                 2.          I am making this Declaration in support of Defendant’s Opposition to Plaintiff’s

                       21      Motion for Leave to File a Third Amended Complaint to add my attorney of record, Ronald P. Slates,

                       22      as a defendant as well as other proposed amendments and allegations in the within matter.

                       23                 3.          I am an attorney duly licensed to practice law before all of the Courts of the State of

                       24      California.

                       25                 4.          Since 1974, I have been and continue to be a member in good standing with the

                       26      California State Bar. My online attorney profile on the State Bar’s website shows that I have no record

                       27      of disciplinary actions taken by the State Bar. A true and correct copy of my online attorney profile
