                 22                 I, YOSEF COHEN, do hereby declare and state as follows:

                 23                 1.         I am one of the Defendants, along with Sonny Benudiz, Marco Abkasis, David Degree

                 24      and Plumtech, Inc., in the matter entitled Joseph R. Mika and Candice S. Mika v. Plumtech, Inc. et al.

                 25      which was filed in the Superior Court of California for the County of Los Angeles with the case

                  26     number bearing Case No. BC206763 (the "Underlying Matter").

                  27                2.          From time to time, I have invested in real estate properties by purchasing, renovating

                  28     and selling those properties for profit. In some of those ventures, I would invest with Sonny Benudiz
