Present at the meeting were the following, being all of the directors of the corporation: William H, Slakey Roger L. Slakey Georgia E, Slakey Abbie Marie Slakey The President, William H. Slakey, presided, and raised the subject of the divisive reorganization of the corporation pursuant to a plan recently approved by a ruling obtained from the Internal Revenue Service. After complete and thorough discussion, the following resolutions were adopted: RESOLVED, that the officers of this corporation, and its attorneys, be severally and collectively authorized and directed to take all steps and perform alli acts which are necessary or appropriate to the implementation of the plan of divisive reorganization set forth in the Internal Revenue Service ruling of February 25, 1963, a copy of which is attached hereto and incorporated by reference herein; and RESOLVED FURTHER, that the corporation, through its officers and.attorneys, acting severally or collectively, be and is hereby authorized and directed te convey to Slakey Brothers Oakland, Inc,, all of the corporation's assets (other than the common stock of its subsidiaries), subject to its liabilities, in exchange for that number of shares of the new Class A voting common stock of. Oakland (after recapitalization of the latter corporation) which has an aggregate par value equal to the net book value of the assets received from this corporation. Said transfer is authorized to be made at any time hereafter, on condition that an open indebtedness is set forth on the books cf Slakey Brothers Oakland, Inc., which shall be satisfied by the issuance of shares of stock as hereinabove set forth; andRESOLVED FURTHER, that any two officers of this corporation be and they are hereby authorized and directed to execute deeds which will convey from this corporation to Slakey Brothers Oakland, Inc,, the following parcels of real property: All that, real property in the City of Sacramento, County of Sacramento, State of California, described as follows: Beginning on the Northerly line of North B Street at a point located North 70° 30' West 536.55 feet from the Westerly line of 16th Street, as said streets are shown on the official "Map of Part of Sacramento City lying between 10th and 25th Streets, "A" Street and American River,” filed in the office of the Recorder of Sacramento County, California, on April 24, 1850, in Eook 1 of Maps, Map No. 8; thence North 19° 30! East 381.4 feet, more or less, to the _center line of North C Street; thence along the center line of North C Street, North 70° 30! West to the center line of - 13th Street; thence along the center line of 13th Street, South 19° 30' West to the Northerly line of North B Street; thence along the Northerly line of North B Street, South 70° 30' Hast to the point of beginning; embracing all of Block 19 and a portion of Block 20, together with the areas in certain adjoining streets, as said blocks are laid down and designated upon the official map herein-before referred to. East 227.00 feet more or less to the point of beginning; embracing a portion of Block 19 together with the areas in certain adjoining street and alley as said blocks are laid down and designated upon the official map hereinbefore referred to. And RESOLVED FURTHER, that the officers and attorneys of the corporation are severally and collectively authorized and directed to take any other actions necessary or appropriate to transfer of the property of this corporation (other than the common stock of its subsidiaries) to Slaxey Brothers Oakland, Inc,, including, but not limited to, trmsfer of any equitable or legal rights pending the actual deeding or conveyancing of properties.
