PROPOSAL AND ESTABLISHMENT OF GUARANTEED MAXIMUM PRICE
1.0 After delivery to the Contractor of Construction Documents for the Work or for any individual phase
thereof that are seventy-five percent (75%) complete and authorized by the Company to be released for construction
purposes, and upon the request of the Company, the Contractor shall, within thirty (30) days after such request, submit to
the Company in writing for the Company’s approval an “Initial Guaranteed Maximum Price,” which shall be the sum of
the estimated total Cost of the Work and the Contractor’s Fee, as identified in Section 4.3 of the Agreement. Each such
submission to the Company shall separately set forth and identify on a line item basis all trade and other cost items,
including any portions of the Work to be self-performed by the Contractor, and the cost of each such item and shall include
quantities and unit costs. The Company shall notify the Contractor within twenty (20) days after receipt of such submission
whether it approves or disapproves such Initial Guaranteed Maximum Price for as the same may have been adjusted by
agreement between the Company and the Contractor during such twenty (20) day period. If the Company approves such
total amount the Contractor shall be deemed automatically to have guaranteed that any Final Guaranteed Maximum Price
for the Work or the applicable phase shall not exceed one hundred five percent (105%) of the Initial Guaranteed Maximum
Price,
2.0 Ifthe Company has not requested an Initia! Guaranteed Maximum Price as provided above, then within -
thirty (30) days after receipt of construction documents, the Contractor shall submit to the Company in writing for the
Company’s approval the “Final Guaranteed Maximum Price,” which shall be the sum of the estimated total Cost of the
Work to complete the Work or the applicable phase and the Contractor’s Fee, as identified in Section 4.3 of the Agreement.

2.1 Change Orders approved by the Company shall increase or decrease the amount of the Final
Guaranteed Maximum Price by the actual amount of the Change Order. Unless material in scope, the costs of all field
orders and minor changes in the Work shall be deemed incladed in the Final Guaranteed Maximum Price.
The estimated Cost of the Work shall include the Contractor's contingency. The Contractor is

which approval shall not be unreasonably withheld, provided that the use of the Contingency is in accordance with this
Article 2.2. At Final Compietion of the Work, any unused portion of the Contractor's Contingency shall be retumed to the
Company and shall not be part of the Contract Sum, nor be used to calculate the final amount of the Contractor's Fee.

2.3.2 If required by construction lender, the Contractor shall deliver to the Company a
payment and performance bond within five (5) business days of receipt of a written request from Company.
. 24. Inthe event of a scope change reducing the scope of the Work or any applicable phase,
regardless of by whom proposed, the Final Guaranteed Maximum Price therefor shall be reduced by the amount set forth in
such scope change.
3.0 ‘The Contractor shall include with both the Initial and Final Guaranteed Maximum Price proposals, a
written statement of its basis. Such basis shall include:
3.1 A list of the Drawings and Specifications, including all addenda thereto and the Conditions of
the Contract, which were used in preparation of the Guaranteed Maximum Price proposals.
3.2 A list of allowances and a statement of their basis.

Guaranteed Maximum Price proposal to supplement the information contained in the Drawings and Specifications.

Completion, such liquidated damages shall be part of the Contractor's submitial.

4.0 The Contractor shall meet with the Company and Architect to review the Guaranteed Maximum Price
proposal and the written statement of its basis.

rules and regulations in effect at the time the Guaranteed Maximum Price is established, including without limitation sales,
use and grass receipts taxes.
8.0 Jn order to ensure a fair and equitable process for evaluating the Contractor’s pricing for any portion of
the Work to be self: performed by the Contractor, the following procedure shall apply in each case where the Contractor
proposes an Initial or Final Guaranteed Maximum Price for the Work or any applicable phase. The Company reserves the
night to designate potential qualified subcontractors to submit competitive proposals for stich portion of the Werk. Such
potential qualified subcontractors and the Contractor shal] each submit a proposal for such portion of the Work directly to
the Company inclusive of profit and overhead. The Company shall review such proposals and select a subcontractor or the
Contractor on the basis of price, completeness of scope, schedule and any other factors the Company may consider relevant,
all in the Company's sole discretion. Notwithstanding anything to the contrary contained in this Agreement, if the
Company selects the Contractor to self-perform such portion of the Work and the parties agree to a stipulated sum
compensation therefor, the Contractor shall be permitted to charge any Contractar’s Fee on the costs thereof.

In addition to its other remedies, Owner may withhold Contractor’s progress payments or final payment

9. Safety Violations: The existence of the OCIP shall not in any manner diminish Owner’s rights under the
Contract Documents to suspend part or all of the Work if, in its opinion, any conditions or practices in
any portion of the Work are such that a danger exists which could reasonably be expected to cause
serious physical harn or otherwise pose a health hazard to contractors, employees, tenants or

CONTRACTOR PRE-CONSTRUCTION SERVICES
i, General, The Contractor will provide services during the period prior to issuance of the Notice To Proceed for site
construction Work (the “Pre-Construction Services”). Pre-Construction Services include, but are not limited to:
() regularly reviewing the design during its development; (2) taking all reasonable measures to identify defects of
comunission or omission in the design and promptly advising Company of any defects that Contractor discovers; and
(B) taking all reasonable precautions to ensure that all required work for the Project is included in the various bid packages
when considered as a whole, but without duplication of requirements. The Contractor acknowiedges that its obligations to
the Company hereunder are independent of the obligations of the Architect or any, consultant to the Architect, and that any
error or omissiou,on the part of any of those parties shall not relieve Contractor.from its duties and obligations hereunder. <
Company expressly acknowledges that Contractor will be acting as a knowledgeable and experienced contractor in carrying
out its duties under this Agreement, and is not acting, and does not purport to act, as a design professional. This
acknowledgment applies to each and every reference hereinafter to the Contractor’s assistance or Participation in design-
related issues,
At all times during the course of this Agreement, the Contractor shall cooperate fully with the pre-construction activities of
the Company and Architect and shall coordinate its work with each of them. The Contractor shall attend regularly
Scheduled meetings with the Company and Architect and shalt schedule such additional meetings as may be necessary.
2, Key Personne]. The Contractor shall at all times staff the Project during the pre-construction phase and
construction phase using the services of the following key personnel:

(3) Joe Wathen - Senior Project Manager
(4) Bill Walker ~ Senior Superintendent
3. Preliminary Evaluation. The Contractor shall provide a preliminary evaluation of the Company's program and
Project budget requirements, each in terms of the other.
4. Project Management System. The Contractor shall establish the project management system to be utilized
throughout the project.
5. Project Specifications and Supplementary Conditions. The Contractor shall assist the Company in preparation of
the project specifications’ and supplementary conditions, if any.
6 Consultation in Design of Project. The Contractor shall consult with and advise the Company and Architect in the
Specifications for the Project through the phase in which the Architects prepare
step-by-step development of Drawings and
studies, drawings and documents illustrating the scale and relationship of the Project components (“Schematic Design
Phase”), the phase in which Architects prepare drawings and documents to fix and describe the size and character of the
Project (“Design Development Phase”) and the phase in which the Architects prepare drawings and specifications that set
forth in detail the requirements for Construction of the Project (“Construction Documents Phase”). In performing these
services, the Contractor shall take into consideration and give advice and recommendations with respect to the following
matters pertaining to the Drawings and Specifications, but without assuming design responsibility: cost impact, availability
of materials, selection of systems, materials and equipment, constructability, construction time impact, and performance
standards and maintenance expense upon completion,
