After full consideration of the Motion, the memoranda, declarations and exhibits thereto,
requests for judicial notice, and having heard and considered arguments of counsel, the Court
hereby grants the Mission Place-related Defendants’ Request for Judicial Notice and further
grants the Mission Place-related Defendants’ Motion to Compel Judicial Reference as follows:
1 Judicial Reference: All proceedings and issues in this case, whether of fact or law,
between the HOA and the Mission Place-related Defendants, are hereby ordered to general
judicial reference (the “Reference Proceeding). This Order does not apply to the defendants other
than the Mission Place-related Defendants (the “Other Defendants”) who joined in the Motion.
Their respective motions by joinder are denied.
2. Stay: The HOA’s case against defendants other than the Mission Place-related
Defendants (the “Other Defendants”), and any claims by such other Defendants, (including
counterclaims, cross-claims, or third-party claims), are hereby stayed (the “Stayed Part of the
Case”). The stay applies to all litigation activity, including but not limited to discovery and
motion practice, including the various demurrers and motions to strike filed by the Other
Defendants in the Stayed Part of the Case. Such demurrers and motions are hereby taken off
calendar. The stay does not preclude the parties in the Reference Proceeding from directing
discovery to the parties in the Stayed Part of the Case. Because the parties in the Stayed Part of
the Case and the Reference Proceeding are all parties to this San Francisco Superior Court Case
No. CGC-08-478453, the parties in the referenced proceeding may serve such discovery under
CCP sections 2030.010 et seq., 2033.010 et seq. i.e. to the other Defendants as parties, rather than
by subpoena as non parties. Any motions relating to such discovery (e.g. motions to compel or
for a protective order) shall be heard and decided by the judicial referee.
3. Case Management Conference: A case management conference for all parties is
scheduled for February 19, 2010 at 9:30 a.m. in the Complex Case Department of the San
Francisco Superior Court, Department 304. If the Reference Proceeding has not concluded by

that date, the parties should so inform the Court by letter and the Court will likely continue the
case management conference to a later date.
4, Opt-In To Reference Proceed! ing With HOA's Written Consent: If agreed to by
the HOA and reflected in a written stipulation and ordered by this Court, any of the Other
Defendants may opt out of the Stayed Part of the Case and into the Judicial Reference
Proceeding. Any such stipulation shall be filed as a Stipulation and Order submitted to the Court
for signature.
5. Extension of Time To Comply With C.C.P. Section 640: The HOA and the
Mission Place-related Defendants shall have to and including September 25, 2009 to comply with
the referee selection procedure set forth in California Code of Civil Procedure Section 640.
6. By agreement of the HOA and the Mission Place-related Defendants, the Mission
Place-related Defendants shall have to and including forty-five (45) days from service of this"
Court’s forthcoming Order Appointing Judicial Reference in which to respond to the HOA’s
Complaint in this matter.
