DECLARATION OF SOFIA BARRON
1 I, Sofia Barron, declare:
2 1. I am over the age of 18 and competent to testify about the matters set forth in this
3 declaration. I could and would testify competently to the matters stated below.
4 2. I was a Vanguard cleaner in California from approximately 2006 until 2021. To
5 work as a cleaner, I had to sign a Franchise Agreement.
6 3. I learned about Vanguard from a friend who was working with Vanguard. When I
7 first became interested in working for Vanguard, I contacted Vanguard to learn what was entailed
8 in working for Vanguard. After that discussion, I met with someone from Vanguard named
9 Christa, who told me more about working at Vanguard. Christa met me at a regional Vanguard
10 office in Foster City to sign my contracts. I signed a franchise agreement and a promissory note.
11 We did not negotiate any of the terms of the contract—I signed what they offered me. Although I
12 am primarily a Spanish speaker, I was not provided with those documents translated into Spanish.
13 I paid a deposit for the contract at the same time I signed it. I recall that the total cost was around
14 $17,000, but I did not pay that full amount all at once.
15 4. Before I started working with Vanguard, I had to discuss Vanguard’s commercial
16 cleaning techniques. After the initial orientation, I also had to visit any new office I would be
17 cleaning for a walkthrough with someone from Vanguard to discuss what was required on each
18 site.
19 5. I worked cleaning commercial businesses for Vanguard. I generally worked on
20 accounts in Bay Area municipalities, including Livermore, Cupertino, San Ramon, and Heyward.
21 6. As a cleaner at Vanguard, I never marketed or advertised my services. Instead, I
22 received new accounts from Vanguard staff. I recall one individual (first name Christa) who
23 provided accounts to me. They would tell me about any new account, and explain the time
24 windows I was required to clean that account, and what areas to clean. I had to sign a contract for
25 each new account, and the terms of the contract were set by Vanguard. During the time I worked
26 with Vanguard, I never cleaned any commercial accounts outside of Vanguard.
27 7. My pay was based on what Vanguard charged the account—I had to pay Vanguard
28 a portion of the fees for each account, and then Vanguard paid me the rest.

1 8. If I lost an account, I learned about it from Vanguard, not from the client.
2 9. If any of my accounts had complaints, they contacted Vanguard, and Vanguard
3 informed me about their concerns. Vanguard then handled follow up communication with the
4 clients.
5 10. Because Vanguard controlled my accounts, my work hours varied depending on
6 how much work they assigned me. Although I sometimes worked more than eight hours in a day,
7 Vanguard never paid me overtime.
8 11. Vanguard had no meal or rest break policy for its cleaners. In practice, I would
9 sometimes stop for a quick drink of water or to use the bathroom, but I did not generally take a
10 full, uninterrupted, 30 minutes in the middle of the day (for a meal or otherwise). Nor did I
11 regularly take 10-minute rest breaks. Vanguard never paid me premium pay when I missed meal
12 or rest breaks.
13 12. Vanguard required me to pay all work-related expenses, either deducted from my
14 paycheck or separately out of my pocket, including: cleaning supplies; cleaning equipment;
15 insurance; gas and vehicle maintenance; and franchise fees. Vanguard never reimbursed me for
16 those expenses.
17 13. When I stopped working for Vanguard, I did not receive payment for my overtime
18 work or any refund of the amounts I had paid to Vanguard.

2 Yo, Sofía Barrón, declaro:
3 1. Soy mayor de diez y ocho (18) años y competente para testificar sobre los asuntos
4 expuestos en esta declaración. Yo podría y testificaría de manera competente con respecto a los
5 asuntos enumerados a continuación
6 2. Trabajé como una trabajadora de limpieza de Vanguard en California desde
7 aproximadamente el 2006 hasta el 2021. Para trabajar como trabajadora de limpieza tuve que
8 firmar un Acuerdo de Franquicia.
9 3. Me entere sobre Vanguard a través de una amiga que estaba trabajando con
10 Vanguard. Cuando inicialmente me interese en trabajar para Vanguard los contacte para averiguar
11 en que consistía el trabajar para Vanguard. Después de esa conversación me reuní con alguien
12 llamado Christa, quien me conto más con respecto a trabajar con Vanguard. Christa se reunió
13 conmigo en una oficina regional de Vanguard en Foster City para firmar mis contratos. Firme un
14 contrato de franquicia y un pagare. No negociamos ninguno de los términos del contrato- firme lo
15 que me ofrecieron. A pesar de que primordialmente hablo español, no me dieron esos
16 documentos traducidos al español. Pague un depósito por el contrato al mismo tiempo que lo
17 firme. Recuerdo que el costo total fue de alrededor de $17,000, pero no pague la cantidad total de
18 una vez.
19 4. Antes de empezar a trabajar con Vanguard tuve que asistir a un entrenamiento
20 sobre las técnicas de limpieza comercial de Vanguard. Después de la orientación inicial, cada vez
21 que iba a empezar a limpiar una nueva oficina también tenía que hacer una visita de recorrido
22 (“walk-through”) con alguien de Vanguard para discutir lo que era requerido en cada lugar.
23 5. Yo trabaje limpiando negocios comerciales para Vanguard. Generalmente trabajé
24 en cuentas en municipalidades de área de la bahía, incluyendo Livermore. Cupertino, San Ramon
25 y Hayward.
26 6. Como trabajado de limpieza en Vanguard, nunca comercialice ni hice propaganda
27 de mis servicios de limpieza. Al contrario, yo recibía las cuentas nuevas directamente del personal
28 de Vanguard. Recuerdo que una persona (llamada Christa) era quien me proveía las cuentas.

1 Ellos me decían sobre cualquier cuenta nueva y me explicaban los periodos de tiempo durante los
2 cuales había que completar la limpieza de esa cuenta y que áreas limpiar. Yo tenía que firmar un
3 contrato para cada nueva cuenta, y los términos del contrato eran determinados por Vanguard.
4 Durante el tiempo que trabajé con Vanguard, nunca limpié ninguna cuenta comercial por fuera de
5 las de Vanguard.
6 7. Mi pago estaba basado en lo que Vanguard cobraba a la cuenta – yo tenía que
7 pagarle a Vanguard una porción de las tarifas de cada cuenta, y ahí Vanguard me pagaba el resto.
8 8. Si alguna vez perdí una cuenta, me entere de ello por Vanguard, no por el cliente.
9 9. Si alguna de mis cuentas tenía quejas, ellos contactaban a Vanguard, y Vanguard
10 me informaba sobre sus preocupaciones. Vanguard entonces manejaba la comunicación de
11 seguimiento con los clientes.
12 10. Como Vanguard controlaba mis cuentas, también controlaban mis horas de trabajo.
13 Vanguard nunca me pago tiempo extra, a pesar de que a veces trabajaba más de ocho horas en el
14 día.
15 11. Vanguard no tenía una política de descansos para comer o descansar para sus
16 trabajadores de limpieza. En la práctica, yo a veces paraba para comer un bocado rápidamente o
17 para ir al baño, pero generalmente no tomaba un descanso completo, de 30 minutos, sin
18 interrupciones, en el medio del día (para comer o algo mas). Tampoco tomaba descansos de 10
19 minutos de manera regular. Vanguard nunca me pago pago adicional cuando no tome descansos
20 para comer o descansar.
21 12. Vanguard requería que yo pagara todos los gastos relacionados con el trabajo, ya
22 sea porque eran deducidos directamente de mi cheque de pago o separadamente como gastos de
23 mi propio bolsillo, incluyendo: artículos de limpieza, equipo de limpieza, seguro, gasolina,
24 mantenimiento de vehículo(s) y cuotas de franquicia. Vanguard nunca me rembolso por esos
25 gastos.
26 13. Cuando paré de trabajar para Vanguard, no recibí ningún pago por tiempo extra
27 trabajado ni rembolso alguno de las cantidades que le había pagado a Vanguard.
