Dear Dr. omes:
I am sure you recogni e the importance of maintaining the integrity of one another's trade
secrets, inventions, sources, and contracts. Please read this agreement and execute below.
We will reveal business process, information and concepts related to the development of a
“newer” form of healthcare delivery conforming to the ACA and ACO. The term newer refers to a
setting that is not available in the market today and as such all information, in whatever form is
deemed proprietary and of great value to Drisonline.com, Inc (“the Company”) and is therefore
confidential. The definition of trade secrets as used herein includes know-how, ideas, techniques,
process, relationships, financial information, and intellectual property of all types which the
Company does not want disclosed/implemented by third parties without the prior written approval
of the Company. In the case of some information and/or opportunities, even if any substantial part
of the confidential information is linked or presented in an admixture with information which is
publicly available, the totality of this information and/or opportunities shall not therefore be
deemed less valuable to the Company or less confidential.
Your signature here demonstrates your commitment to this confidentiality, non disclosure
and non-circumvention and your promise not to disclose, disseminate or use the information
provided to you by the Company to anyone for a period of five 5 years from the date of this
agreement without the express written consent of the Company, whether or not the parties reach
agreement on future business activities.
The undersigned agrees that the above paragraphs and agreements are considered
confidential, exclusive, and demonstrate agency fee clauses. Breach of this agreement, in any
shape or form, knowingly or unknowingly, are in unctive in nature and will constitute an
actionable breach.
