December 15, 2005 Docket Event ORDER FOR PRELIMINARY INJUNCTION AND THE APPOINTMENT OF A RECEIVER. After a hearing (for which notice was provided), and consideration of the Plaintiff's Complaint, the Court hereby orders as follows: (1) That the Defendant, A & D Distributors, Inc., its officers, directors, employees, servants, attorneys and agents are preliminarily enjoined from selling, conveying, transferring or otherwise disposing of or encumbering any part of all of its property, estate, and effects. (2) That George Field, Esquire of Verrill Dana LLP, One Boston Place, Boston, MA 02109 (the "Receiver") is appointed as Receiver to take charge of the estate and effects of the Defendant, A&D Distributors, Inc., with all powers and duties provided in and subject to Section 51 of Chapter 156, Sections 52 and 53 of Chapter 155, and Sections 14.30-14.31 of Chapter 156D of the General Laws of Massachusetts, and pursuant to Rule 66 of the Massachusetts Rules of Civil Procedure and Rule 51 of the Superior Court Rules, including the power to liquidate the assets of A&D Distributors, Inc. in satisfaction of the debt to the Plaintiff. (3) That the Defendant, A&D Distributors, Inc., its officers, directors, employees, servants, attorneys and agents are preliminarily enjoined from interfering with the Receiver's ability to exercise the powers granted above and the power to take control of the property, estates, effects, receivables, books of accounts, and all other assets of the Defendant, A&D Distributors, Inc. Entered as an Order of this Court this 15th day of December, 2005. ( Connors, J.)
