On March 17, 2020, Long Bonetti Office, LLC (“Plaintiff”) filed this action against Hamish Marshall (“Marshall”), and his related entities (collectively, “Defendants”), alleging breach of fiduciary duty and conversion, and requesting an accounting. According to the complaint, in August 2016, Plaintiff and PC Opportunity 3, LLC (“PCO3”) formed a limited liability company called The Yard at Victoria, LLC (the “LLC”). The purpose of the LLC was development of a residential housing project on Victoria Avenue in San Luis Obispo known as “The Yard.” Plaintiff filed this action individually and derivatively on behalf of the LLC. The LLC is not named as a party.
Both Plaintiff and PCO3 own a 50% membership interest in the LLC, which was managed by a board of managers comprised of two representatives from each member. Marshall and Chuck Braff are the representatives for PCO3 and Taylor Judkins and Don Judkins are Plaintiff’s representatives on the board of managers.
