CGC-20-582535 1 I, Kyle Miller, hereby declare as follows: 2 1. I am over the age of 18 and am not a party to this litigation. I am currently 3 employed by Airbnb, Inc. (“Airbnb”) as a Product Manager, and I maintain an office at 888 4 Brannan Street, San Francisco, California 94103. As an Airbnb Product Manager, I work with, 5 and am familiar with, the computer code that generates the platform and website pages 6 maintained by Airbnb including, but not limited to, the parts of the code that display Airbnb’s 7 sign-up screens and subsequent events that require Member1 assent or consent (“Consent 8 Events”) on both computer and mobile devices (the “Code”). I am also familiar with the manner 9 in which Airbnb maintains its records of Member assent and account creation in the ordinary 10 course of its business, as well as the manner in which Airbnb regularly maintains records 11 pertaining to bookings made through the Airbnb online platform. I have personal knowledge of 12 the facts set forth below except those facts set forth upon information and belief. As to those 13 facts, I believe them to be true. If called as a witness, I could and would testify competently to 14 the facts set forth below. I am authorized to provide this Declaration on Airbnb’s behalf, and I 15 submit this Declaration in support of Airbnb’s Motion to Compel Arbitration. 16 The Airbnb Platform 17 2. As Airbnb’s online Terms of Service (“TOS”) explain, Airbnb provides an online 18 platform that connects third-parties who wish to offer their unique accommodations (called 19 “Hosts”) with third-party travelers seeking to book accommodations (called “Guests”). The 20 platform is publically accessible online at http://www.airbnb.com and via mobile applications. 21 As the TOS explain, Hosts are responsible for listing their accommodations on the platform, 22 including deciding whether, to whom, when and on what material terms they offer their 23 accommodations. Agreements for short-term and long-term bookings are between Hosts and 24 Guests directly, and Airbnb is not a party to the booking transactions or any agreements between 25 Hosts and Guests. Airbnb does not own or control properties that Hosts list on the platform, and 26 Airbnb does not operate, manage or otherwise have any interest in, or grant any interest in, 27 properties that Hosts list on the platform. CGC-20-582535 1 TOS, available on Airbnb’s website, www.airbnb.com or directly at www.airbnb.com\terms, is 2 attached hereto as Exhibit A and is incorporated herein by this reference. 3 3. Airbnb operates a global platform and has Members in all fifty states. Members 4 can access the Airbnb platform through the internet from anywhere in the United States. Guests 5 can make reservations with Hosts offering accommodations in all fifty states. For example, a 6 Host in San Francisco, California, can decide to offer an accommodation for booking on the 7 Airbnb platform to a Guest visiting from New York City, New York. 8 4. I am familiar with Airbnb’s policies and procedures for the maintenance of its 9 Code, which dictates the Member interface presentation and the behavior of the Airbnb online 10 platform. The Code is primarily written in a combination of HTML, CSS, JavaScript and Ruby 11 on Rails, each of which are programming languages with which I am familiar. The Code 12 controls the format of the online screens presented to Members when they assent to Airbnb’s 13 TOS. The Code also causes the dates and times of Members’ assent to each version of the TOS 14 to be recorded in Airbnb’s database in the ordinary course of business at or near the time of the 15 assent. I have personally reviewed archived and live portions of the Code relating to the sign-up 16 screens and Consent Events utilized by Airbnb, as discussed below. I have also reviewed 17 Airbnb’s business records pertaining to the accounts associated with Plaintiff Ray Murillo and 18 Plaintiff Georgia Walker (collectively, “Plaintiffs”), respectively, as well as the business records 19 pertaining to reservation HMAECXQXM4, which was made through Plaintiff Murillo’s Airbnb 20 account on October 9, 2019 for a two-night long stay at 230 West Alabama Street, Unit 804, 21 Houston, Texas (the “Accommodation”). I have confirmed that Plaintiff Murillo consented to 22 five versions of Airbnb’s TOS and Plaintiff Walker consented to two versions of the TOS, as set 23 forth in greater detail below. 24 5. At all times relevant to this litigation, Airbnb Members, including Plaintiffs 25 Murillo and Walker, were required to agree to the then-current TOS (among other agreements) 26 before they could create an Airbnb account, list or book an accommodation via the Airbnb 27 platform, or send messages via the Airbnb platform. 28 2 ________________________________________________________________________________________ DECLARATION OF KYLE MILLER IN SUPPORT OF DEFENDANT AIRBNB, INC.’S MOTION TO COMPEL ARBITRATION; CASE NO. CGC-20-582535 1 6. I obtained the information set forth below from my review of Plaintiffs’ Airbnb 2 account records, which are records regularly maintained in the ordinary course of Airbnb’s 3 business and were all made at or near the time of the events, conditions, or occurrences they 4 describe. 5 7. Prospective Members who seek to transact using the Airbnb platform must first 6 create an Airbnb online account. At all times relevant to this litigation, when a Member signed 7 up for an Airbnb account, that Member was required to press a button to affirmatively indicate 8 his or her agreement to the TOS. The TOS was visibly hyperlinked, and the Member was given 9 an opportunity to review its terms before agreeing to it and creating an account. Thus, 10 prospective Members were notified about the TOS, had the opportunity to review its terms, and 11 indicated their agreement to be bound by the TOS for as long as they continued using Airbnb's 12 platform, website, and services in the process of signing up for an Airbnb account. 13 8. Airbnb updates its TOS from time to time. Each time it updates the TOS, Airbnb 14 requires Members to affirmatively indicate their agreement to the updated TOS before they can 15 continue to access their accounts and use Airbnb’s platform, website, and services. Airbnb sends 16 an email to the email address associated with each of its Members to notify them of the update, 17 the effective date of the update and to provide them with an opportunity to review the updated 18 TOS by clicking on a hyperlink in the email. Then, as I have confirmed based on the archived 19 Code, the first time account holders log into their Airbnb accounts after the effective date of the 20 updated TOS, they are presented with that updated TOS, either in a scroll-box or via a hyperlink, 21 and are required to affirmatively click an electronic button indicating their agreement to continue 22 to be bound by the updated TOS. The button that Members click is accompanied by text 23 indicating that they are accepting the updated TOS. Members are required to click their assent 24 before they can continue to access their Airbnb account. Airbnb does not allow Members to log 25 in, access their accounts, interact with other Members, create a listing, book a reservation, or 26 otherwise use the Airbnb services unless and until they agree to the updated TOS. 27 9. Airbnb's current TOS is available by hyperlink on Airbnb's homepage, 28 www.airbnb.com, and directly at www.airbnb.com/terms. The current TOS is publically 3 ________________________________________________________________________________________ DECLARATION OF KYLE MILLER IN SUPPORT OF DEFENDANT AIRBNB, INC.’S MOTION TO COMPEL ARBITRATION; CASE NO. CGC-20-582535 1 available—no Airbnb account is required to access it. 2 10. I have reviewed Airbnb's business records associated with the accounts of 3 Plaintiffs Murillo and Walker. The business records that I reviewed are all regularly maintained 4 in the ordinary course of Airbnb's business and were made at or near the time of the events, 5 conditions, or occurrences they describe. 6 Plaintiff Murillo Assented to the TOS 7 11. The business records showing the date that Plaintiff Murillo created an account, 8 his sign up details, and the date upon which he consented to the TOS are attached hereto as 9 Exhibits B-1, B-2, and B-3, respectively, and are incorporated herein by this reference. 10 Exhibits B-2 and B-3 confirm that Plaintiff Murillo created an account on September 6, 2016, 11 and that he consented to Version 5 of the TOS on that date. As further confirmed in Exhibit B- 12 2, Plaintiff Murillo created his account via Google using an Android mobile browser and thus 13 would have been presented with the account creation flow identical or substantially similar to 14 that described in paragraph 12 below. 15 12. Attached hereto as Exhibit B-4 and incorporated herein by this reference, is a true 16 and correct copy of the initial sign-up screen that is substantially similar to the screen Members 17 signing up via mobile device would have seen if they created an account on September 6, 2016. 18 As Exhibit B-4 illustrates, the Members were presented with three click button options: 19 “Continue with Facebook,” “Continue with Google,” and “Sign up with Email.” As Exhibit B-4 20 further illustrates, the text immediately below the three click buttons states, “By signing up, I 21 agree to Airbnb's Terms of Service” and certain other policies. The phrase “Terms of Service” 22 and the other policies were off-set in red type and hyperlinked so the Member could click to read 23 the full documents. As discussed in paragraph 11, above, Plaintiff Murillo clicked “Continue 24 with Google,” thereby indicating his assent to Airbnb’s Terms of Service. 25 13. A true and correct copy of Version 5 of the TOS, effective on September 6, 2016, 26 is attached hereto as Exhibit B-5 and is incorporated herein by this reference. 27 14. Airbnb’s business records show that Plaintiff Murillo consented to four updated 28 versions of the TOS: Version 6 on December 26, 2016, Version 7 on September 13, 2017, 4 ________________________________________________________________________________________ DECLARATION OF KYLE MILLER IN SUPPORT OF DEFENDANT AIRBNB, INC.’S MOTION TO COMPEL ARBITRATION; CASE NO. CGC-20-582535 1 Version 8 on November 21, 2018, and Version 10 on April 7, 2019. See Exhibit B-3. 2 15. Each time that Plaintiff Murillo agreed to an updated version of the TOS, he 3 would have received the email notification described in paragraph 8, above, and would have 4 been required to assent to each updated version by clicking his assent as described therein. I was 5 able to recreate a wire-frame image of the email notification that Plaintiff Murillo would have 6 received by executing the Code, a true and correct copy of which is attached hereto as Exhibit 7 B-6. As Exhibit B-6 makes clear, the email notified Plaintiff Murillo that the TOS had been 8 changed, provided a brief description of the material changes and presented the full terms by 9 hyperlink in a scroll box. As Exhibit B-6 further illustrates, Plaintiff Murillo was required to 10 click his assent to the updated TOS in order to access his Airbnb account. Again, Airbnb does 11 not allow Members to log in, interact with other Members, create a listing, or book a reservation 12 using the Airbnb platform unless and until they accept the updated TOS. 13 16. A true and correct copy of Version 7 of the TOS, to which Plaintiff Murillo 14 indicated agreement on September 13, 2017, is attached hereto as Exhibit B-7. A true and 15 correct copy of Version 8 of the TOS, to which Plaintiff Murillo indicated agreement on 16 November 21, 2018, is attached hereto as Exhibit B-8. A true and correct copy of Version 10 of 17 the TOS, to which Plaintiff Murillo agreed to on April 7, 2019, is attached hereto as Exhibit B-9. 18 17. According to Airbnb's records, reservation number HMAECXQXM4 for 230 19 West Alabama Street, Unit 804, Houston, Texas, was booked through Plaintiff Murillo’s Airbnb 20 account for a two-night stay commencing on October 9, 2019. 21 Plaintiff Walker Assented to the TOS 22 18. The business records showing the date that Plaintiff Walker created an account, 23 her sign up details, and the dates upon which she consented to the TOS are attached hereto as 24 Exhibits C-1, C-2 and C-3 respectively, and are incorporated herein by this reference. Based on 25 my review of Airbnb’s records associated with Plaintiff Walker’s account, and as reflected in 26 Exhibits C-2 and C-3, Plaintiff Walker created her account on March 13, 2017 and consented to 27 Version 6 of the TOS on that date. Like Plaintiff Murillo, Plaintiff Walker created her account 28 via Google using an Android mobile browser (see Exhibit C-2) and thus also would have been 5 ________________________________________________________________________________________ DECLARATION OF KYLE MILLER IN SUPPORT OF DEFENDANT AIRBNB, INC.’S MOTION TO COMPEL ARBITRATION; CASE NO. CGC-20-582535 1 presented with the account creation flow identical or substantially similar to that described in 2 paragraph 19 below. 3 19. Exhibit C-4 is a true and correct copy of the initial sign-up screen that is 4 substantially similar to the screen Members would have seen if they created an account on March 5 13, 2017 when they began the account creation process through a mobile device, as Plaintiff 6 Walker did. As Exhibit C-4 illustrates, the Members were presented with three click button 7 options: “Continue with Facebook,” “Continue with Google,” and “Sign up with Email.” As 8 Exhibit C-4 further illustrates, the text immediately below the three click buttons states, “By 9 signing up, I agree to Airbnb's Terms of Service” and certain other policies. The phrase “Terms 10 of Service” and the other policies were off-set in teal type and hyperlinked so the Member could 11 click to read the full documents. As discussed in paragraph 18, above, Plaintiff Walker clicked 12 “Continue with Google,” thereby indicating her assent to Airbnb’s Terms of Service. 13 20. A true and correct copy of Version 6 of the TOS, effective on March 13, 2017, is 14 attached hereto as Exhibit C-5 and is incorporated herein by this reference. 15 21. Plaintiff Walker subsequently agreed to Version 7 on December 28, 2017. See 16 Exhibits B-7 & C-3. 17 22. As discussed above, every time the TOS is updated, existing account holders 18 receive an email notifying them of the change and providing them with information and an 19 opportunity to review the updated terms directly from the email via hyperlinks. A true and 20 correct copy of one of the emails that Plaintiff Walker received notifying her of an update to the 21 TOS is attached hereto as Exhibit C-6. For the update for Version 7 of the TOS, Members were 22 presented with a notification box that included a hyperlink to the updated TOS and the statement 23 “You must agree to the updated Terms in order to continue using Airbnb” immediately above an 24 “Agree” and a “Disagree” button. Based on the archived Code, I created a wireframe image of 25 the screens that reflect the layout of the screen that existing account holders, including Plaintiff 26 Walker, would have been presented in the course of accepting Version 7 of the TOS. A true and 27 correct copy of such wireframe images is attached hereto as Exhibit C-7 and is incorporated 28 herein by this reference. As the exhibit illustrates, the updated TOS page contains: (1) a notice 6 ________________________________________________________________________________________ DECLARATION OF KYLE MILLER IN SUPPORT OF DEFENDANT AIRBNB, INC.’S MOTION TO COMPEL ARBITRATION; CASE NO. CGC-20-582535 1 stating that the TOS and certain other policies have been updated; (2) a hyperlink to the modified 2 TOS and certain other policies on the acceptance page; (3) a hyperlink to a summary of the 3 changes to the TOS and certain other policies; and (4) the statement ''You must agree to the 4 updated Terms in order to continue using Airbnb" immediately above two click buttons-an 5 "Agree" button and one that allows a Member to "Disagree" and log out. An account holder 6 must click "Agree" before he or she can continue to access his or her account. After the 7 effective date of an updated version of Airbnb' s TOS, an Airbnb Member that had accepted a 8 previous version could not proceed past this screen and continue to log in and transact using the 9 Airbnb platform without first clicking both buttons. If a Member did not click the "Agree" 10 button, the Member would not be able to log in and transact with other Members on the platform 11 and no agreeance would be recorded in Airbnb's business records. 12 I declare under penalty of perjury under the laws of the State of California that the :rv~ 13 foregoing is true and correct.
