IT IS HEREBY STIPULATED AND AGREED, by and between the undersigned counsel for
the parties as follows:
1. The Closing Deadline, as that term is defined in paragraph 7 of the Settlement
Agreement, dated as of March 14, 2024 (the “Settlement Agreement”) (NYSCEF Doc. 3), is June 18,
2024, TIME BEING OF THE ESSENCE;
2. The Extension Notice, as that term is defined in paragraph 7 of the Settlement
Agreement, if any, is to be served by June 17, 2024, TIME BEING OF THE ESSENCE;
3. The letter from Stewart J. Stern to Avery Mehlman and Scott Ross, dated June 10, 2024,
is amended to the extent that the date set forth therein as the Closing Deadline is deemed changed from
June 12, 2024 to June 18, 2024, TIME BEING OF THE ESSENCE.
4. This stipulation is without prejudice to the parties’ respective rights under the Settlement
Agreement, the law or at equity or to their positions in this action. Except as expressly modified herein,
nothing contained herein shall change, modify or amend in any way the Settlement Agreement.
