Standard of Law 3 California Civil Code section 3439.04 provides that A transfer made or obligation incurred 4 by a debtor is voidable as to a creditor, whether the creditor's claim arose before or after the transfer 5 was made or the obligation was incurred if the debtor made the transfer or incurred the obligation 6 with actual intent to hinder, delay, or defraud any creditor of the debtor. Civ. Code $ 3439.04(a)(I). 7 In determining the "actual intent,*'he court should consider to any or all of (I) Whether the transfer 8 or obligation was to an insider; (2) Whether the debtor retained possession or control of the 9 property transferred after the transfer; (3) Whether the transfer or obligation was disclosed or O 10 concealed; (4) Whether before the transfer was made or obligation was incurred, the debtor had 11 been sued or threatened with suit; (5) Whether the transfer was of substantially all the debtor' Q 12 assets; (6) Whether the debtor absconded; (7) Whether the debtor removed or concealed assets; (8) CI 13 Whether the value of the consideration received by the debtor was reasonably equivalent to the C3 14 value of the asset transferred or the amount of the obligation incurred; (9) Whether the debtor was 15 insolvent or became insolvent shortly after the transfer was made or the obligation was incurred; 16 (10) Whether the transfer occurred shortly before or shortly after a substantial debt was incurred; 17 (11) Whether the debtor transferred the essential assets of the business to a lienor that transferred 18 the assets to an insider of the debtor. Civ. Code )3439.04(a)(2). If a creditor has obtained a 19 judgment on a claim against the debtor, the creditor may levy execution on the asset fraudulent 20 transferred or its proceeds. Civ. Code $ 3439.07 (c). In an action for relief against a transfer or 21 obligation under this chapter, a creditor may obtain avoidance of the transfer or obligation to the 22 extent necessary to satisfy the creditor's claim, except against a person that took in good faith and 23 24 PLAINTIFF JACK WRIGHT'S MOTION TO VOID FRAUDLENT CONVEYANCE PURSUANT TO CIVIL CODE gs3439.07 Page 3 I for a reasonably equivalent value given the debtor or against any subsequent transferee or obligee. 2 Civ. Code tjIj3439.07(a)(1), 3439.08(a). 3 II. Facts and Arguments 4 Here, the judgment was entered on June 21, 2023, and an abstract of judgment for 5 $ 785,187.04 which lists Defendant Randeep Singh Dhillon and Jalsa Palms BTI, LLC as debtors 6 was issued on October 25, 2023. When the judgment was entered, there was a real property located 7 at 15906 Wible Rd., Bakersfield, CA 93313, legally described as Parcel Map 10776 Lot A with 8 ATNII 184-392-58-00-8 (" Property" ) owned by the debtor Jalsa Palms BTI, LLC. However, the 9 Property was transferred to Lemongas Enterprises Inc., a California coiporation controlled by O 10 debtor Randeep Singh Dhillon, on September 6, 2023. See Exhibit 1. Since Lemongas Enterprises S4 11 Inc, was not listed as a debtor of the judgment, the Property now is not reachable by Mr. Wright. Q 12 Considering the factors stated in Civil Code Ij3439.04(a)(2), the transfer was made with actual CJ 13 intent to hinder, delay, or defraud creditor Mr. Wright. CJ 14 First, according to the information on the Secretary of State's website, Debtor Randeep 15 Singh Dhillon is the CEO and owner of Lemongas Enterprises Inc. After the transfer, Dr. Dhillon 16 still has direct or indirect control of the Property. Thus, the Property was transferred to an insider, 17 not a third party in good faith. Before the transfer, the Property was owned by debtor Jalsa Palms 18 BTI, LLC, another company owned by Dr. Dhillon. Although the Property was transferred, there is 19 no doubt that Dr. Dhillon retains the control and possession of the Property since he just transferred 20 the Property from his "left pocket" to his "right pocket." The Property was transferred by quitclaim 21 deed on September 6, 2023, after the judgment was entered. 22 After Dr. Dhillon realized he and the company he controls had to pay over $ 785,000 to Mr. 23 Wright, the only thing he could do was to affect the transfer of this asset to the corporate defendant, 24 PLAINTIFF JACK WRIGHT'S MOTION TO VOID FRAUDLENT CONVEYANCE PURSUANT TO CIVIL CODE I3439.07 Page 4 I Jalsa Palms BTI, LLC. At the time of the transfer, was unknown to Mr. Wright. Otherwise, Mr. 2 Wright would have petitioned the Court to list Lemongas Enterprises Inc, as an additional debtor 3 when he applied for the abstract of judgment. 4 Therefore, considering all factors and circumstances, the Property was transferred with 5 actual intent to hinder, delay, or defraud Mr. Wright in collecting the judgment from debtors 6 Randeep Singh Dhillon and Jalsa Palms BTI, LLC. The transfer is voidable as to Mr. Wright. 7 Pursuant to Civil Code Ij3439.07, Mr. Wright is entitled to obtain the avoidance of the transfer of 8 the Property or, alternatively, levy execution on the Property even it was transferred. 9 As of the date of this motion being prepared, Jalsa Palms BTI, LLC is still in a suspended O 10 status with the Secretary of the State of California and therefore may not defend itself in this action. 11 See Exhibit 2. 4 12 III.
