termination of this contract and shall pay over or apply the Downpoymont in accordance with the terms
of this paragraph. At Closing the Downpaym€nt shall be paid by Escrowee to Seiler. If for any reason
Closing does not occur and oither party gives Notice to Esuowee demanding payrnenf of the
Downpayment, Escrowee shall give prornpt written Notice to tho other party of such demarrd. If Bscrowoe
does not receive Notioe of objection from such other party to the proposed payment within ten (10)
business days after the giving of such Notioe, Esorowee is hereby authorized and direoted to rnake such
payment, If Escrowee does receive such Notice of objection within suoh tetr (10) day period or if for any
other reason Escrowee in good faith shall elect not to rnake such p&)rrnent, Escrowee shall continue to
hold such amount until otherwise directed by Notice from the parties to this contract or a final,
nonappealable judgment, order ot decree of a court. However, Escroweo shall have the right at any time
