                   Upon reading and filing the Petition ofThe Upper New York Annual Conference ofthe
           United Methodist Church and Stitwille United Methodist Church, also known as The First
           Methodist Episcopal Church of Stittville and The Floyd Methodist Episcopal Church ofFloyd,
           also known as The First M.E. Church of Stiftville, N-Y. (the "Church") verified by Kathy King-
           Griswold the 6th day of February,2024. verified by Pamela Klotzbach the 7'h day of February,
           2024, verificd by William J. Prior the l4th day of March ,2024, verified by Andrea Malachowski
           the l4th day of March, 2024, with the exhibits armexed, setting forth the terms of the transfer by
           the Church of substantially all of its assets to Stittville Methodist Church, as set forth in the
           Petition and'it appearing from the Petition that the purposes of the Church will be promoted
           thereby by thc continued operation of a place of worship after the transfer of substantially all of
           the assets; and the approval ofno govemment agency or officer being required, it is

                    ORDERED, that leave is hereby given to the Church to transfer its Assets to Stittville
            Methodist Church as set forth in the Pctition, including the transfer of title to the Real Property
            located at 9066 Main Street, Village of Stittville, Town of Marcy, County of Oneida New York
            (Oneida County Tax Parcel Identification Number 227 .003-1-38) in accordance with the
            Transfer Agreement (as defined in the Petition), and it is further
