ASSIGNMENT OF LEASES AND RENTS, SECURITY AGREEMENT AND FIXTRE FILING
CPIF LENDING, LLC, a Washington limited liability company ("Assignor"), having an address
at 1910 Fairview Ave. E., Suite 200, Seattle, Washington 98102, for valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, hereby sells, assigns, transfers, and endorses to CPIF MRA,
LLC, a Delaware limited liability company ("Assignee"), having an address at 1910 Fairview Ave. E., Suite
200, Seattle, Washington 98102, without any right of recourse or any representation or warranty, express
or implied, all of Assignor's right, title and interest in and to that certain Consolidated, Amended and
Restated Mortgage, Assignment of Leases and Rents, Security Agreement and Fixture Filing dated as of
April 22, 2021, executed by JTRE 14 VESEY LLC, a Delaware limited liability company, to and for the
benefit of Assignor, and recorded on May 7, 2021 as Document Number 202100016935� in the official
records of New York County, New York ("Security Instrument"), which Security Instrument affects that
certain real property situated in the County of New York in the State of New York and more particularly
described in Exhibit A attached hereto and made a part hereof.
This Assignment of Consolidated, Amended and Restated Mortgage, Assignment of Leases and
Rents, Security Agreement and Fixture Filing (this "Assignment"), made and effective as of H,::o:( \C,
_, 2021, shall be governed in all respects by the laws of the state in which the Security Instrument was
recorded. This Assignment shall inure to the benefit of the successors and assigns of the Assignor and the
Assignee, and shall be binding upon the successors and assigns of the Assignor and the Assignee.
