The OAG and Sirius hereby agree as follows: (1) On April 3, 2023, the Parties executed a tolling agreement (the "Tolling Agreement") related to a confidential investigation into whether Sirius has violated New York law, including but not limited to New York Executive Law§ 63(12), New York General Business Law §§ 349 and 527-a(2), and the Restore Online Shoppers' Confidence Act, 15 U.S.C. § 8403(3) in connection with Sirius' policies and practices concerning the cancellation of subscriptions that renew automatically (collectively, the "Potential Claims"). In the Tolling Agreement, the Parties agreed that any Limitations Defenses (as defined in the Tolling Agreement) relating to any Potential Claims by the OAG would be tolled for a 6-month period beginning April 3, 2023, and ending October 3, 2023. NO. 68 34 RECEIVED NYSCEF: 01/19/2024 12/20/2023 TOLLING AGREEMENT This Tolling Agreement (this "Agreement") is entered into as of April 3, 2023 (the "Effective Date") between the New York State Office of the Attorney General ("OAG") and Sirius XM Radio Inc., together with its subsidiaries, predecessors, officers, directors, successors and assigns, and all other persons or entities acting on its behalf or under its control (collectively, "Sirius" and, with the OAG, the "Parties"). WHEREAS the OAG is conducting a confidential investigation into whether Sirius has violated New York law, including but not limited to New York Executive Law § 63(12), New York General Business Law§§ 349 and 527-a(2), and the Restore Online Shoppers' Confidence Act, 15 U.S.C. § 8403(3) in connection with Sirius' policies and practices concerning the cancellation of subscriptions that renew automatically (collectively, the "Potential Claims"); WHEREAS the Parties desire to suspend any applicable statutes of limitations, defense of !aches, or any other defense based solely upon delay or lapse of time (the "Limitations Defenses") to any Potential Claims that may be brought by the OAG for a period of six months in order to permit the OAG to continue to pursue its investigation and determine whether to commence any legal action or proceeding; THEREFORE, in consideration of the foregoing, the Parties agree as follows: 1. Any Limitations Defenses relating to any Potential Claims by the OAG shall be tolled until October 3, 2023, the six-month period beginning on the Effective Date (the "Tolling Period"). 2. Nothing in the Agreement shall be construed as precluding Sirius from asserting the defense that any Potential Claims are untimely, provided that, in asserting such defense, Sirius does not rely on the passage of time comprising the Tolling Period. Entry into this Agreement by Sirius does not in any way limit or affect any defense of Sirius to any Potential Claim other than a Limitations Defense that relies on the passage of time comprising the Tolling Period. In the event any Potential Claim is asserted against Sirius, Sirius reserves the right to raise any and all defenses other than a Limitations Defense as tolled by this Agreement. This Agreement shall not in any manner create, revive or modify any rights, claim or cause of action that was barred as of the Effective Date. 3. This Agreement does not constitute, and shall not be construed to be, an admission to any claim of violation of law by Sirius, an admission of fact or liability by Sirius as to any Potential Claim, or an admission by Sirius that any Potential Claim could properly be asserted against it, or that any Potential Claim brought against Sirius would have any basis in law or in fact. 4. The Tolling Period, if unexpired, shall conclude automatically upon the commencement of an action or proceeding in New York State court by the OAG against Sirius or any of its affiliates concerning the Potential Claims. This Agreement shall be construed, interpreted, and enforced according to the laws of the State ofNew York applicable to agreements executed and performed therein. 6. All notices and requests in connection with this Agreement will be deemed given as of the day they are received either by messenger, electronic mail, delivery service, or in the United States of America mail, postage prepaid, certified or registered, return receipt requested. All notices and payments shall be delivered to the addresses set forth under the names of the Parties below. 7. If any provision of this Agreement is held to be illegal or unenforceable under applicable law, such provision is to be limited or excluded from this Agreement to the minimum extent required and the remaining provisions of this Agreement will be interpreted as if such provision were so limited or excluded and is enforceable in accordance with its terms. 8. This Agreement may be amended, and any provision of this Agreement may be waived (either generally or any particular instance, and either retroactively or prospectively) only with the written consent of both Parties. 9. This Agreement may be executed by manual or facsimile/electronic signatures and in counterparts, each of which shall be deemed an original and all which together shall constitute one and the same instrument. Facsimile/electronic signatures or signatures delivered in counterparts or via electronic mail as a PDF attachment shall hold the same force and effect as an original signature for purposes of this Agreement. 10. This Agreement constitutes the entire understanding of the Parties and replaces any and all former agreements, understandings and representations relating in any way to the tolling of Limitations Defenses. We regret that her recent experience led to a complaint with your agency. After researching Ms. Banning's account, it was found that her complaint regarding being contacted for an outstanding balance resulted from the automatic renewal of her subscription. Per the terms and conditions in our Customer Agreement, subscriptions automatically renew at the rates in effect at the time of each renewal until the subscriber calls us to cancel. Her outstanding balance has been removed. On September 12, 2021, the 6-month subscription on radio id ending in 93MT automatically renewed per the terms and conditions in our Customer Agreement and an invoice was sent for the $142.54 balance. On October 9, 2021, at Ms. Banning's request, we cancelled the subscription, leaving a $23.21 balance for used time since renewal. A member of our Corporate Solutions Team reached out to Ms. Banning to further discuss her complaint. We explained that we show no documentation of a cancel request prior to October 9, 2021. We cleared the $23.21 balance so her account currently reflects a $0 balance. We regret that her recent experience led to a complaint with your agency. After researching Ms. Banning's account, it was found that her complaint regarding being contacted for an outstanding balance resulted from the automatic renewal of her subscription. Per the terms and conditions in our Customer Agreement, subscriptions automatically renew at the rates in effect at the time of each renewal until the subscriber calls us to cancel. Her outstanding balance has been removed. On September 12, 2021, the 6-month subscription on radio id ending in 93MT automatically renewed per the terms and conditions in our Customer Agreement and an invoice was sent for the $142.54 balance. On October 9, 2021, at Ms. Banning's request, we cancelled the subscription, leaving a $23.21 balance for used time since renewal. A member of our Corporate Solutions Team reached out to Ms. Banning to further discuss her complaint. We explained that we show no documentation of a cancel request prior to October 9, 2021. We cleared the $23.21 balance so her account currently reflects a $0 balance.
