If an Application for Payment is received by the Construction Manager after the 25th day of a month, payment shall be made by the Owner not later than forty-five (45) days after the Construction Manager receives the Application for Payment. Additional procedures for Applications for Payment are set forth in Article 9 of the General Conditions. § 5.1.4 Progress Payments § 5.1.4.1 Each Application for Payment must be based on the most recent schedule of values submitted by the Contractor in accordance with the Contract Documents. The schedule of values must allocate the entire Contract Sum among the various portions of the Work and be prepared in such form and supported by such data to substantiate its accuracy as the Construction Manager and Architect may require. This schedule, unless objected to by the Construction Manager or Architect, will be used as a basis for reviewing the Contractor's Applications for Payment. § 5.1.4.2 Applications for Payment must show the percentage or other measure of completion of each portion of the Work as of the end of the period covered by the Application for Payment. § 5.1.4.3 Subject to the provisions of the Contract Documents, the amount of each progress payment shall be computed as follows: .1 Take that portion of the Contract Sum properly allocable to completed Work as determined by multiplying the percentage completion of each portion of the Work given a fixed value by the share of the total Contract Sum allocated to that portion of the Work in the schedule of values, together with, if applicable, the portion of completed Work attributable to completed unit price items, time and material items, or other bases for compensation, all less retainage of Five Percent (5%). Pending final determination of cost to the Owner of changes in the Work, amounts not in dispute may be included as provided in Section 7.3.9 of the General Conditions; .2 Add that portion of the ContractSum properly allocable to materials and equipment delivered and suitably stored at the site for subsequent incorporation in the completed construction (or, if approved in advance by the Owner, suitably stored off the site at a location agreed upon in writing), less retainage of Five Percent (5%); .3 Subtract the aggregate of previous payments made by the Owner; and .4 Subtract amounts, if any, for which the Construction Manager or Architect has withheid or nullified a Certificate for Payment as provided in Section 9.5 of the General Conditions. § 5.1.4.4 The progress payment amount determined in accordance with Section 5.I.4.3 shall be further modified under the following circumstances: .1 Add, upon Substantial Completion of the Work, a sum sufficient to increase the total payments to One Hundred Percent (100%) of the Contract Sum, less such amounts as the Construction Manager recommends and the Architect determines for incomplete Work and unsettled claims as determined under Section 9.8.5.1 of the General Conditions; and .2 Add, if final completion of the Work is thereafter materially delayed through no fault of the Contractor, any additional amounts payable in accordance with Section 9.10.3 of the General Conditions. § 5.1.4.5 (Paragraphs deleted) There will be no reduction of retainage prior to Substantial Completion. NO. 29 RECEIVED NYSCEF: 02/03/2021 .2 a final Certificate for Payment or Project Certificate for Payment has been issued by the Architect; such final payment shall be made by the Owner not more than 30 days after the issuance of the final Certificate for Payment or Project Certificate for Payment. § 5.2.2 In addition to other required items, including but not limited to those required under Section 9.10 of the General Conditions, the final Application for Payment must be accompanied by the following, all in form and substance satisfactory to the Owner and in compliance with applicable law: .1 permanent certificate(s) of occupancy or use issued by the appropriate governmental authority; .2 all maintenance and operating manuals; "as-built" .3 marked sets of field drawings and specifications reflecting conditions; .4 reproducible Mylar drawings reflecting the location of any concealed utilities, mechanical and electrical systems, and their components; .5 assignmcñts of all guarantees and warranties to the Contractor from Subcontractors, materialmen, vendors, or manufacturers, together with a list of their names, addresses, telephone numbers, and cor esponding guarantees and warranties from each; and .6 all other information and materials required to comply with the requirements of the Contract Documents or reasonably requested by the Owner, Architect, or Construction Manager. § 5.3 Compliance with the New York General Municipal Law Notwithstanding 5.1 and 5.2 above, all payrnents by the Owner to the Contractor will be made in accordance Sections with Section 106-b(1)(a) of the New York General Municipal Law, or any successor statute governing payment by public owners to contractors on public work projects. The provisions of that section supersede, override, and replace anything in this Agreement or elsewhere in the Contract Documents that are or appear to be to the contrary, including but not limited to progress payments, retainage, substantial completion, reduction of retainage, reducing payments as a result of claims, liens, or judgments not suitably discharged, reducing payments for the value of incomplete work following substantial completion, and final completion. In addition, Contractor will make payments to its subcontractors and materialmen in accordance with Section 106-b(2) of the New York General Municipal Law, or any successor statute governing payment by contractors on public work projects to subcontractors and materialmen, which likewise supersede, override, and replace anything in this Agreement or elsewhere in the Contract Documents that are or appear to be to the contrary.
