                                                           ED MAP, inc.


            WHEREAS,             ED MAP and Delta Career Education Corporation (‘Client’) have entered into an
            Agreement for Bookatore and Related Services dated February 2, 2012 (the “Agreement’};

            WHEREAS, ED MAP and Client mutually agree to amend said Agreement effective September
            8, 2043;
            NOW THEREFORE, in consideration of the mutual benefits to be derived from thie Amendment
            #1, the Parties agree to the following:

                        The percentage 11.796" is hereby substituled for the percentage “14.5%" wherever the
                       latter percentage appears in Exhibit {(a) and in Atfachment C.

                      Exhibit i{d) shall be amended toe ackd the following language - “UPS coste shall be
                     discounted 25% off of UPS's published rates, and ED MAP shail use only UPS fo ship
                     textbooks and related materials to Client's students unless Cllent otherwise agrees in
                     writing.”.

                        The Purchasing Authorization Ferm and Attachment C shail be deemed to cover all of
                       Cilent's current schools, except Tucson College and The Creative Circus,         Future
                       schools of focatione will be added only with the mutual written consent of ED MAP and
                       Client.
                       from       and   after the effective date     hereof,   all references to “the Agreement”   in
                       communications between the parties shail be deemed to refer to the Agreement as
                       amended by this Amendment #1.
