                  AGREED ORDER DISMISSING ALL CLAIMS AGAINST DEFENDANTS
                   STVT-AAI EDUCATION DBA ANCORA EDUCATION AND ANCORA
                           INTERMEDIATE HOLDINGS WITH PREJUDICE

                      David M. Whittaker (“Trustee”), the Chapter 7 Trustee for Ed Map Inc, the Plaintiff

            in this case (“Ed Map”), and Defendants STVT-AAI Education dba Ancora Education and

            Ancora     Intermediate   Holdings     (collectively the “Ancora   Parties”) have negotiated a

            settlement of the claims asserted by Ed Map in this case against the Ancora Parties.

                      On December 28, 2020, the Bankruptcy Court in Ed Map’s Chapter 7 Bankruptcy

            (Case 2:18-bk-55889) granted the motion by the Trustee for authority to compromise

            claims against the Ancora Parties (the “Bankruptcy Court Settlement Order”).

                      Pursuant to the terms of the Bankruptcy Court Settlement Order, the Trustee was

            authorized to dismiss the claims asserted against the Ancora Parties in this case with

            prejudice upon the completion of certain actions by the Trustee and the Ancora Parties.

                      The terms of the settlement have been met, and all of the other terms of the

            Bankruptcy Court Settlement Order have been complied with and completed.

                      Accordingly, the Trustee and the Ancora Parties agree and that Court Orders that

            all of Ed Map’s claims against the Ancora Parties asserted in this case are DISMISSED

            with prejudice and the Ancora Parties shall not be liable for any of the costs of this case.
