R. Civ. P. 1.410(c)and Fla. R. Civ. P. hereby files 1.280(c), its Motion for Protective Order to Limit the Scope of the Non-Party Subpoena Duces Tecum to Alan Shaw and Production of Documents Therewith ("Motion") and in support states: 1. As this Court remembers, Plaintiff served a Subpoena Duces Tecum to non-party Alan Shaw ("Shaw"), who is a former employee o f Gulfstream, on October 5,2022, with a return date of November 9,2022. See attached as Exhibit A. The partiesand Shaw came before this Court upon Shaw's Motion for Protection. The Court ordered in part: "Defendants' counsel may review the documents for the assertion of applicableprivileges, if any. All documents produced by Shaw to Defendants' counsel over which no privilegeis asserted and a privilege log identifying ACTIVE 682812480vl *** FILED: BROWARD COUNTY, FL BRENDA D. FORMAN, CLERK 10/21/2022 09:39:49 PM.**** all documents over which a privilege is asserted shall be produced to Plaintiffby October 21,2022. Defendants may withhold from Plaintiff the productionof any document over which Defendants assert a See Order attached as Exhibit B. privilege." 2. Pursuant to the Order, Gulfstream has reviewed the universe of documents produced by Shaw and has logged those documents which are both responsiveto the subpoena and protectedby the attorney client Gulfstream's privilegelog is attached as Exhibit C. privilege. Gulfstream also identified documents that are protectedby the attorney client privilege, but the content of those documents is not responsive to the subpoena and irrelevant to the claims and defenses in this action. These documents are logged on a separate privilege log attached as Exhibit D 3 However, in the course ofreviewing for Gulfstream also determined that privilege, Shaw intended to produce documents that are not privileged but are simply outside the scope of the subpoena and are either irrelevant,confidential,or both. Gulfstream has logged these documents as Exhibit E. 4. As this Court noted at the hearingon Shaw's Motion for Protection,the documents in Shaw's possession are the property of Gulfstream. The documents were sent and received on Shaw's Gulfstream email address during his employment with Gulfstream. Shaw only has possession of Gulfstream's documents because he copied then to his personal server. These documents belong to Gulfstream and are within Gulfstream's possession,custody,and control. As such, Gulfstream should be able to prevent the disbursement of irrelevant and confidential documents from production.Production of these documents is improper because the documents are not likelyto lead the discovery of admissible evidence, and is harmful to Gulfstream, its business, and its other tenants. On this basis,Gulfstream moves for protection. 2 ACTIVE 682812480vl 5. Fla. R. Civ. P. 1.410(c)states, in relevant part, "[T]he court, on motion made promptly and in any event at or before the time specified in the subpoena for compliance therewith may (1) quash or modify the subpoena if it is unreasonable and oppressive . . ." This motion is timelybecause the return dates on the subpoenas have not yet occurred. 6. Similarly,Fla. R. Civ. P. 1.280(c)provides that "[u]pon motion by a party or by the person from whom discoveryis sought,and for good cause shown, the court in which the action is pending may make any order to protect a party or person from annoyance, embarrassment, oppression,or undue burden or expense that justicerequires"by prohibitingthe discovery or modifying same. Rojas v. Ryder TruckRental, Inc., 641 So. 2d 855, 857 (Fla.1994) (thecourt has "broad discretion in overseeingdiscoveryand protectingpartiesthat come before it").Non-party subpoenas may be challenged when the requests seek information that is not relevant. See Schwanke v. JB Med. Mgmt. Sols.,Inc., 2017 WL 3034039, at *7 (M.D. Fla. Jul. 18, 2017). This is because discovery should be limited to the claims and defenses in the action. Id. at 9. 7. First,the discoverysought through Subpoena Request Number 5 is unreasonable and overbroad under both Fla. R. Civ. P. 1.410(c)and Fla. R. Civ. P. Request No. 5 asks 1.280(c). for "All Documents and Communications regarding the contemplated future redesign of some or all ofthe Shopping Center." 8 Due to the overbreadth ofthe request, Shaw deemed "responsive"many documents that have no bearing on this case and worse-are comprised of unending amounts of confidential to other tenants in the Village and largeamounts of proprietary information relating information regarding Gulfstream's business--spanningfour years. This request is at best overbroad and at worst merely a fishingexpedition. 9- For example, the Request arguably captures (and Shaw intends to produce) documents that include but are not limited to: (1) Mr. Shaw's Employment Agreement and 3 ACTIVE 682812480vl employee performance; (2)emails and proposalsregardinginterior design for and buildingoffice space for Gulfstream's partnershipwith First Street at the Villagein a separate location from the premises at issue; (3) communications regarding electric car charging stations;(4) documents regarding digitaladvertising;and (5) communications regarding other tenants' leases and 1 negotiationsoftheir lease terms. 10. This request should be limited to "All Documents and Communications regarding the contemplated future redesign of the portion of the Village where the leased Premises are located." But as it stands, the Request arguably includes decisions as mundane as what color to paintan office space in a buildingthat is and as confidential as not the subjectof this litigation and non-publicdeals Gulfstream's operatingbudget,its proformas,financial analysesprojections, that have nothing whatsoever to do with Space 1700. 11. Beyond that,Shaw also included documents that are entirely non-responsiveand outside the scope of the subpoena (even if Request Number 5 were not limited in scope),such as: (1) high level benefits and reimbursement packages for Gulfstream employees, including Gulfstream operationsduring the height of the COVID-19 pandemic; (2) hiringdecisions;(3) communications regarding Preakness, Pegasus, and other racing events; (4) communications related to other tenants that have no bearing on this or master planning; and (5) litigation discussions of former lawsuits with other tenants. Notably,none ofthe documents regardingthe other tenants are responsiveto Requests 7 and 8- i which specificallyonk seek: (7) All Documents and Communications evidencing Gulfstream's attempt to re-let the Premises at any time after January 1, 2021 and (8) All o f Your communications with prospectivetenants of the Premises at any time after January 1, 2021. As such, correspondenceabout tenants in locations other than Space 1700 are outside the scope ofthe subpoena because Premises is specificallydefined in the Non-Party Subpoenas as the "specific demised space leased to Strike X of the Shopping Center known as Space No. 1700 including the New Building Addition as depicted on Exhibit B of the Lease below". This expressly omits tenants at the Village in other spaces. 4 ACTIVE 682812480vl 12. limits the date range to documents and Moreover, the Subpoena specifically communications prepared on January 1, 2019, through present. Nevertheless, Shaw intended to produce documents from well before that time period. 13. Gulfstream conferred with opposing counsel on October 20,2022 and advised that it logged every document that is being withheld. Gulfstream proposed that Plaintiff take the opportunityto review the logs to determine if the partiescould reach any agreements as to the documents withheld and that the remaining documents could be reviewed by a specialmaster. Plaintiff does not agree to the relief sought in this motion.
