                    IT IS STIPULATED AND AGREED that the law firm of Jason D.                     Katz, P.A. shall

           withdraw    as   counsel for   Plaintiff,   G&E REALTY     GROUP, INC. Jason D. Katz,      P.A. shall have

           no    further   responsibility    for the   handling   of this case, and the law firm of   MARSHALL,

           DENNEHEY, WARNER, COLEMAN & GOGGIN, P.C. shall be substituted                               as   Plaintiff's

           counsel, effective as of the date of the signing of an appropriate order.      Plaintiff's consent to the

           substitution of counsel is attached as Exhibit "A.'
