Leave to File Second Amended Counterclaim (the “Motion”). After considering the Motion, the

Response to the Motion ﬁled by Plaintiff TRO-X, L.P., Eagle’s Reply in Support of the Motion,

the supporting evidence, and the argument   of counsel,   the Court is     of the opinion that the Motion

should be   DENIED.
