Victory Renewables, LLC and Conestoga Energ/ Holdings, LLC, Cause No. DC-22-17865 in the 14th Judicial District Court of Dallas County, Texas Dear Counsel: This letter memorializes the agreement of Plaintiff VicNRG, LLC (“Plaintiff”) and Defendants Victory Renewables, LLC and Conestoga Energy Holdings, LLC (together, “Defendants” and collectively, the “Parties”) as set forth below. The Parties agree that Defendants’ deadline to designate their expert(s) opposing affirmative relief and provide expert report(s) to Plaintiff (“Defendants’ Expert Deadline”) shall be as follows: (l) If Defendants’ Amended Motion to Compel Arbitration and Stay Proceedings, filed July l3, 2023 (the “Motion to Compel Arbitration”), is denied on September l8, 2023, then Defendants’ Expert Deadline shall be October 2, 2023; (2) If Defendants’ Motion to Compel Arbitration, is not decided by the Court on September 18, 2023, then Defendants’ Expert Deadline shall be the earlier of (i) two-weeks from the date the Motion to Compel Arbitration is denied or (ii) October l6, 2023. The Parties additionally agree that if the Court has not ruled on the Motion to Compel Arbitration by October l6, 2023, Defendants will provide their expert designations and expert reports on October l6, 2023. The Parties agree that Defendants’ designation of experts and production of expert reports, by itself, prior to the Court’s ruling on the Motion to Compel Arbitration shall not constitute or be construed as a waiver of Defendants’ right to seek to compel arbitration in this case. The Parties additionally agree that the deadline to amend pleadings to assert new claims and/or affirmative defenses shall be October 20, 2023. The Parties additionally agree that the deadline for Plaintiff to designate any rebuttal expert Witness and provide any rebuttal expert report shall be extended until two weeks after the date on Which Defendants designate their experts and provide expert reports.
