COMES NOW, Plaintiff/Petitioner, HUDSON ENERGY SERVICES, LLC, and makes and
files this Application for Order Confirming Arbitration Award pursuant to the Texas Arbitration Act
found at Texas Civil Practices & Remedies Code $171.08] et. seq. against Defendant/Respondent, SUN
HOLDINGS INC. (hereinafter referred to as “Respondent” or “Sun”), and for cause of action would
respectfully show the Court the following:
Parties
i Petitioner and Plaintiff is HUDSON ENERGY SERVICES, LLC (hereinafter
referred to as “Petitioner” or “Hudson”).

Respondent and Defendant is SUN HOLDINGS INC. (hereinafter referred to as
“Respondent” or “Sun”). Respondent is Texas corporation that can be served with process via its
registered agent, Corporate Creations Network Inc. at 5444 Westheimer, Suite 1000, Houston,
Bp
Harris County, Texas 77056 pursuant to TEX. CIV. PRAC. & REM. CODE SI17L.094.
Jurisdiction
3 Jurisdiction for this application is conveyed to this court by TEX. CIV. PRAC. & REM.
Cone SI7L081 et. seq.

Venue
4 Venue is proper in Harris County pursuant to TEX. CIV. PRAC. & REM. CODE
$171.096 as a hearing before the sole arbitrator was held in Harris County, Texas. See TEX. CIV.
PRAC. & REM. CODE $171.096(c); see also, In re Lopez, 372 S.W 3d 174, 175 (Tex. 2012) (‘when an
arbitration hearing has already been held, venue is determined by section 171.096(c), which
mandates venue be in the same county where the arbitration hearing was held”).
Arbitration Award
Sy Petitioner and Respondent entered into a Commodity Master Agreement and
Transaction Confirmation on December 21, 2017 whereby Petitioner would be the Retail Energy
Provider for Respondent and supply electricity to Defendant at multiple locations in the State of
Texas. After expiration of the contract term, Petitioner and Respondent entered into a second,
similar Commodity Master Agreement, Transaction Confirmation and TX Rider on December 30,
2019.
6 The terms of the agreements required Petitioner to provide the electrical power
supply to Respondent's numerous businesses. In return, Respondent agreed to compensate
Petitioner for its services as part of the parties’ contractual agreement. While Petitioner fully
performed its obligation by supplying the agreed upon electrical services, Respondent breached
the agreement.
ep 3. To resolve the payment dispute, Petitioner and Respondent brought the matter
before an arbitrator in Harris County, Texas. Pursuant to TEX. CIV. PRAC. & REM. CODE 171.085, a
copy of the agreement to arbitrate is attached hereto as Exhibit A.
i Arbitration was conducted under the auspices of the American Arbitration
Association, Case Number 01-21-0018-0887 in Harris County, Texas. After a presentation of

evidence and arguments, the arbitrator found in favor or Petitioner and ordered Respondent to

CODE $171.085, a copy of the arbitration award verifying the status of the arbitration proceedings
is attached hereto as Exhibit B.
Prayer for Relief
8 Pursuant to the Texas Arbitration Act found at Texas Civil Practices & Remedies
Code $171.081 et. seq., Respondent requests that this Court render the Final Award of arbitration a
judgment as a matter of law as the award is valid and enforceable in all respects. A proposed order
reflecting the award accompanies this pleading. Unless specific grounds are offered to modify an
arbitration award, the court shal/confirm the award upon application by a party. See TEX. ClV. PRAC.
& REM. CODE S$171.087. A court must “indulge every reasonable presumption to uphold an
arbitrator's decision.” New Med. Horizons LI, Ltd. v. Jacobson, 317 S.W 3d 421, 428 (Tex.App.—Houston
[Ist Dist.] no pet.).

Arbitration Award Sy Petitioner and Respondent entered into a Commodity Master Agreement and Transaction Confirmation on December 21, 2017 whereby Petitioner would be the Retail Energy Provider for Respondent and supply electricity to Defendant at multiple locations in the State of Texas. After expiration of the contract term, Petitioner and Respondent entered into a second, similar Commodity Master Agreement, Transaction Confirmation and TX Rider on December 30, 2019. 6 The terms of the agreements required Petitioner to provide the electrical power supply to Respondent's numerous businesses. In return, Respondent agreed to compensate Petitioner for its services as part of the parties’ contractual agreement. While Petitioner fully performed its obligation by supplying the agreed upon electrical services, Respondent breached the agreement. ep 3.
