                        20                PETITIONER, SHARILYN J. BERRY AND SCOTT A. BAILEY, successor Trustees of

                        21      THE FIRST AMENDED AND RESTATED MARILYN AND PHILIP BAILEY 1983 TRUST

                        22      DATED JANUARY 12, 2001 (the "Trust") alleges as follows:

                        23           I.        JURISDICTION AND VENUE

                        24                I.       The Court has jurisdiction over this matter under Probate Code Sections

                        25      850(a)(3)(B), l7200(a), and l7200(b)(l) because the assets at issue belong to the Trust, which

                        26      was validly created by the Settlors.

                        27                         Probate Code Section 850(a)(3)(B) authorizes a trustee to bring a petition "where

                        28      the trustee has a claim to real or personal property...."
