      Attached is an initial draft of the disclosure schedules to the asset purchase agreement. The items described on the
      schedules are based on the diligence materials that we have received and the schedules correspond to the reps and
      warranties in Article 3 of the purchase agreement. Please print this out and have a copy in front of you, along with a
      copy of the purchase agreement, for our call tomorrow. In case you need it, also attached is the current draft of the
      purchase agreement.
