BILL OF SALE
WHEREAS, Cherrywood Enterprises, LLC ("Seller") and
Bloomingdale Road Judgement Recovery ("Buyer") have entered
that certain Receivables Purchase Agreement made effective as of
September 28, 2019, (each as defined in the Agreement) upon the
terms and conditions set forth in that Agreement,
NOW, THEREFORE, for good ·and valuable consideration,
and pursuant to the terms and provisions of the Agreement, Seller
hereby sells, assigns, quitclaims, transfers and conveys to Buyer all
of Seller's right, title and interest in and to the Receivables as set
forth in the Agreement. provided however such transfer is made
without any representations, warranties or recourse, except as
provided in the Agreement.
Any sales tax resulting from the terms of such Agreement is
the sole and exclusive responsibility of Buyer.
THE RECEIVABLES TRANSFERRED PURSUANT
HERETO ARE TRANSFERRED AS IS AND WHERE IS, AS
MORE FULLY SET FORTH IN THE AGREEMENT.
IN WITNESS, WHEREOF, Seller has signed and delivered
this instrument on the 28th day of September 2019.
