Robert D. MacGill, being firstduly sworn, deposes and says:
1. I am counsel of record for Houlihan Lawrence in the above-captioned matter. I
am an adult individual over the age of eighteen years and am competent to give thistestimony. I
am a citizen of the United States.Unless stated otherwise, the facts set forthherein are from my
own personal knowledge.
2. Attached as Affidavit Exhibit A isthe Records Custodian Affidavit of Annette
Chrystal.
3. Attached as Affidavit Exhibit B is Houlihan Lawrence's Article 10.11 Summary
of Arbitration Rights.
4. Since late 2018, the parties have worked, under the supervision of the Court and
the Discovery Referee, to devise a sampling protocol by which Plaintiffs would select a

thereafter selected a statisticallyrepresentative sample of 425 of Houlihan Lawrence's dual-
agent MLS transactions and performed representativeness tests on the sample of 425 transactions
to ensure the reliabilityand representativeness of the sample.
5. As partof this Court-supervised process, on February 8, 2019, counsel for
Methodology"
Plaintiffs,Mr. Jeremy Vest, sent me an email entitled"HL: NERA Sampling (the
"Sampling Methodology Email"). Attached to the Sampling Methodology Email was a PDF
Memo.pdf."
document entitled "NERA Sampling Methodology Affidavit Exhibit C attached
hereto isa true and correct copy of the Sampling Methodology Email, with attachment appended.
6. As an additional part of thisCourt-supervised process, on February 14, 2019,

authority to certifyitsrecords. I am charged with responsibility of maintaining the records of
Houlihan Lawrence.
3. I am presently the Director of Training and Education at Houlihan Lawrence and
have held thisrolesince 2015. From 2010-2015, I was an Education Coordinator at Houlihan
Lawrence.

in thislitigation,as identifiedin theenclosed Schedule 1 (the"Vest Sample Arbitration

the possession, custody, or control of Houlihan Lawrence or itscounsel.

Arbitration Agreements are fulland complete copies and no portionsare missing, unless
identified on a privilegelog.
10. The Vest Sample Arbitration Agreements were made by the personnel or staffof
Houlihan Lawrence, or persons acting under Houlihan Lawrence's authority or control,in the
