                                       COMPLAINT OF DEFENDANTS JAMES VELISSARIS
                                          AND INFINITY Q MANAGEMENT EQUITY, LLC


                           PLEASE TAKE NOTICE that, upon the accompanying Memorandum of Law, the

                  Affirmation of Robert F. Serio dated June 30, 2021, and accompanying exhibit, and all prior

                  pleadings and proceedings herein, Defendants James Velissaris and Infinity Q Management

                  Equity, LLC will move this Court at the Motion Submission Part at the Courthouse located at 60

                  Centre Street, Room 130, New York, New York, on September 2, 2021, at 9:30 a.m., or as soon

                  thereafter as counsel may be heard, for an order pursuant to C.P.L.R. 3211(a)(1) and (a)(7)

                  dismissing all claims against James Velissaris and Infinity Q Management Equity, LLC with

                  prejudice in their entirety, and for such other and further relief as this Court deems just and

                  proper.

                           PLEASE TAKE FURTHER NOTICE that, pursuant to the Joint Stipulations Setting

                  Schedule dated June 23, 2021 (NYSCEF No. 82) and June 30, 2021 (NYSCEF No. 83),
