                                        RESPONDENT'S              BRIEF


                                                   Statement

                            Plaintiff    is  and   at   all  relevant    times   was    nn
                         Illinois   corporation      duly   licensed   in  the  State   of
                         New     York    and   having    its  principal    office  in  the
                         State   of  New    York    at  342  Madison     Avenue,     Ne,v
                         York     City   (Record,     p. 5G,  fols.  167-168).
                            Defendant      was    employed      in  Baltimore,     Mary-
                         land,    and    plaintiff    issued    to   her   employer      a
                         fidelity   bond.      After    defendant     signed     a  letter
                         agreeing     to  make     restitution    of  certain    moneys,
                         plaintiff    on   November       20,  1947,   paid    $3,000   to
                         defo:ildant's    employer      (Record,     p.  5G,   fols.  168-
                         171).     At  that   time   plaintiff   was   also  authorized
                         to  do  business    in  the  State   of  ).faryland    (Record,
                         p.  35,  fols.  103-104).
