                     Dear  Ms.  Luong:


                     I write on behalf  of Nomura    Credit &  Capital, Inc. ("NCCI")    in response  to your  letter,dated January
                     10,  2014   (the "January   10  Letter"),  which   purports  to  give  notice  that certain  Mortgage    Loans
                     breached   one or more   of the representations  and  warranties  contained  in the Mortgage    Loan  Purchase

                     Agreement,    dated  as of May    10, 2007  (the "MLPA"),     between   NCCI,   as seller, and  Nomura    Asset
                     Acceptance    Corporation,   as purchaser.   Capitalized  terms  used  but not  defined  herein  shallhave  the

                     meaning   set forth in the Pooling   and  Servicing  Agreement,    dated as of April  1, 2007  (the "PSA")    or
                     MLPA,    as applicable.


                     The  request  made   to either cure the  alleged breaches   or repurchase  the  identified Mortgage   Loans   is

                     respectfully  denied   because  no  proper   notice was   provided   requiring  action  pursuant   to the PSA.

                     Specifically,  NCCI   is not required  to cure any  alleged  breach   or repurchase  any  Mortgage    Loan  if it
                     is notified of an alleged  breach  more   than six years  afterthe  date  of the representation.   In this case,
                     since  the  PSA   is  dated  April  1, 2007,   the  notice  of  breach  is  untimely.    Notwithstanding     the

                     foregoing,  NCCI   hereby   reserves the right to dispute  the purported   breaches  identified in the January
                     10  Letter  in the event   a court  of  competent   jurisdiction  ultimately  determines    that the notice  of
                     breach  isnot  time barred.
